RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE RATIFICATION
OF THE AGREEMENT
BETWEEN THE TOWN OF LOS GATOS
AND THE SANTA CLARA COUNTY TRAFFIC AUTHORITY
FOR A TEMPORARY TRAFFIC SIGNAL
AT WIMBLEDON DRIVE AND WINCHESTER BOULEVARD
BE IT RESOLVED by the Town of Los Gatos that the Town ratify agreement
between the Town of Los Gatos and the Santa Clara County Traffic Authority for a
temporary traffic signal at Wimbledon Drive and Winchester Boulevard, attached as
Exhibit A.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town
of Los Gatos, California, held on the 21st day of January, 1992, by the following vote:

SUBJECT: ROUTE 85 FROM LOS GATOS CREEK TO SARATOGA CREEK TEMPORARY
SIGNAL AT WINIBLEDON /WINCHESTER
This is to confirm our understanding regarding the
procurement,
maintenance, removal, and reimbursement for the temporary signal atWimbledonatand
Winchester. The Town of Los Gatos agrees to procure, install, maintain and remove a
temporary signal for the safety of traffic on Wimbledon, through a local contractor.
Installation is to be completed no later than mid - January, 1992.
The Traffic Authority agrees to reimburse the Town of Los Gatos, within thirty days
after receipt of invoice, an amount not to exceed $8,000 for this effort.
It is mutually agreed that neither AUTHORITY, nor any officer or employee thereof,
shall be responsible for any damage or liability occurring by reason of anything done or
omitted by TOWN or any contractor hired by TOWN under or in connection with any work,
authority or jurisdiction delegated to TOWN under this Agreement. It is also understood and
agreed that, pursuant to Government Code Section 895.4, TOWN or any contractor hired by
TOWN shall fully indemnify and hold AUTHORITY harmless from any liability imposed for
injury, as defined by Government Code Section 810.8, occurring by reason of anything done
or ornitted by TOWN under this Agreement or in connection with any work, authority or
jurisdiction delegated to TOWN under this Agreement.
It is mutually agreed that neither TOWN nor any officer or employee thereof, shall be

AUTHORITY under or in connection with any work, authority or jurisdiction delegated to
AUTHORITY under this Agreement. It is also un,derstcod and agreed that, pursuant to
