RESOLUTION AUTHORIZING MAYOR TO EXECUTE AN
AGREEMENT FOR TOWN ATTORNEY SERVICES
THE TOWN COUNCIL OF THE TOWN OF LOS GATOS RESOLVES AS
FOLLOWS:
Larry E. Anderson is appointed Town Attorney effective June 1, 1993, to serve upon
the terms and conditions of employment contained in the contract attached hereto and
incorporated by reference.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town
of Los Gatos, California, held on the 3rd day of May, 1993 by the following vote.

TOWN ATTORNEY AGREEMENT
THIS AGREEMENT is entered into this day of 1993, by and
between the TOWN OF LOS GATOS, ( "Town "), and Larry E. Anderson, ('Anderson ").
RECITALS
A. Town desires to employ Anderson as Town Attorney to fulfill the duties set
forth in Section 2.30.505 of the Town Code of Los Gatos.
B. Anderson desires to render legal services to the Town as its Town Attorney.
AGREEMENT
In consideration of the foregoing recitals, and of their respective promises herein,
the Town and Anderson agree as follows:
1. Appointment. Town appoints Anderson and Anderson agrees to serve as
Town Attorney.
2. Term. This Agreement shall commence June 1, 1993 and extend indefinitely
until terminated as provided hereinafter.
3. Compensation. Anderson shall receive the following compensation:
a. Salary. Annual base salary shall be $80,000. The Town Council shall
review the base salary twelve months after executing this Agreement and at least
annually thereafter.
b. Performance Bonus. The Town Council shall evaluate Anderson's
performance annually and may pay Anderson a performance bonus depending on the
quality of services received during the previous year.
C. Retirement. Town shall pay both the employer and the employee
share of Anderson's contribution to the Public Employees' Retirement System,
(PERS).
d. Benefits. Town shall provide the benefits listed below:
(1) Cash Option Plan (Cafeteria) amount - $8,092 per year purchase
of medical, dental, and life insurance plan.
(2) Twenty -two (22) days of annual leave.
(3) Short term disability insurance effective the 8th calendar day
which covers 60% of weekly earnings up to a maximum of $1,155 /week for
12 weeks.

(4) Long Term Disability beginning on the 91st day of disability
which covers 60% of monthly earnings up to a maximum of $5,000 /month.
(5) Fifty thousand dollars ($50,000) Town paid -life insurance plus
$50,000 Town -paid AD &D.
(6) One hundred twenty dollars ($120) vision care reimbursement.
e. Job Related Expenses. Within budget limitations the Town shall
reimburse Anderson for costs of professional education and membership and
attendance at meetings of professional groups such as the State Bar of California,
the Santa Clara County Bar Association, The League of California Cities (Attorney's
Department), and the Bay Area City Attorney Association.
4. Termination. This Agreement may be terminated in the following manner:
(a) by Anderson giving Town sixty (60) days written notice;
(b) by majority vote of the Town Council; or
(c) at any time by any other method agreed upon by both parties in writing.
In the event of termination by majority vote of the Town Council for reasons other
than cause, Town Council will give Anderson thirty (30) days written notice and Anderson
shall be paid three (3) months compensation, and shall receive compensation for accrued
annual leave.
5. General Provision
a. Amendment. The Town Council may from time to time amend this
Agreement or fix other terms and conditions of Anderson's employment, either by
written addendum attached hereto or by resolution, provided that such amendments
are not inconsistent with the provisions of this Agreement, the Town Code, or any
other law.
b. Application of General Rules. As to any matter not expressly covered
in this Agreement, Anderson shall be subject to the same rules and policies as any
other management employee of the Town.

C. -Integration. This Agreement is the entire agreement between the
parties, except for amendments as provided herein.
d. Successors. This Agreement shall be binding on Anderson's heirs and
successors.
e. Notices. Notices shall be given by first class mail addressed as follows:

Notice shall be deemed given as of the date of personal service or as of the date of deposit
