AUTHORIZING TOWN MANAGER TO EXECUTE AN AGREEMENT WITH ROGER
ERNST & ASSOCIATES TO CONDUCT TOWN PUBLIC AUCTION OF SURPLUS AND
UNCLAIMED PROPERTY AND AUCTION OF ASSET SEIZURE ITEMS
WHEREAS, State and Federal law requires the Town to conduct public auctions of
abandoned, unclaimed, or seized items held in police custody, as well as surplus Town
property; and
WHEREAS, the Town requested proposals for conducting these auctions on behalf of
the Town and only one response was received; and
WHEREAS, Roger Ernst & Associates submitted that proposal and appears to
possesses the necessary qualifications and facilities to provide the required auction services and
protect the public's interest, as well as possessing experience with the Town and many other
public agencies.
THEREFORE, BE IT RESOLVED, as follows:
1. The Town Manager is authorized and directed to execute the Agreement
between the Town of Los Gatos and Roger Ernst & Associates attached as Exhibit A hereto.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town of
Los Gatos, California, held on the 5th day of September, 1995 by the following vote.

AGREEMENT BETWEEN THE TOWN OF LOS GATOS AND RE% -
ROGER ERNST & ASSOCIATIES FOR AUCTION SERVICES Bey
THIS AGREEMENT is made and entered into this _ day of 1995,
by and between the TOWN OF LOS GATOS, a municipal corporation [hereinafter TOWN], and
ROGER ERNST & ASSOCIATES, a (hereinafter
CONTRACTOR].
RECITALS
WHEREAS, State and Federal law requires the Town to conduct public auction of items
held in police custody pursuant to seizure, abandonment, or lack of claim, as well of items that
constitute surplus Town property; and
WHEREAS, the Town issued a Request for Proposals attached hereto as Attachment 1;
and
WHEREAS, CONTRACTOR responded with a proposal dated July 24, 1995, which is
attached hereto as Attachment 2; and
WHEREAS, CONTRACTOR represents that it is qualified and willing to provide the
services sought in the Town's Request for Proposals,
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. The Town accepts the proposal of CONTRACTOR contained in Attachment 2.
2. CONTRACTOR agrees to provide the insurance specified and required by Attachment
3 hereto before undertaking any services under this Agreement and no later than October 1, 1995.
3. TOWN agrees to pay the CONTRACTOR a sum equal to 10% (ten percent) on all
vehicles and roling stock and 25% (twenty-five percent) on all tangible items sold by
CONTRACTOR, to be deducted from the sale proceeds.
4. CONTRACTOR shall comply with all applicable laws, codes, ordinances, and
regulations of governing federal, state and local laws. CONTRACTOR represents and
warrants to Town that it has all licenses, permits, qualifications and approvals of whatsoever
nature which are legally required for CONTRACTOR to practice its profession.
CONTRACTOR represents and warrants to Town that CONTRACTOR shall, at its sole cost
and expense, keep in effect or obtain at all times during the term of this Agreement any
licenses, permits, and approvals which are legally required for CONTRACTOR to practice its
profession.
5. Any notice required to be given shall be deemed to be duly and properly given if
mailed postage prepaid, and addressed to:

or personally delivered to CONTRACTOR to such address or such other address as
CONTRACTOR designates in writing to Town.
6. This Agreement consists of the Agreement and the 3 Attachments hereto. Should
there be any conflict between the provisions of the Agreement and the Attachments, the
following precedence shall apply: 1) Agreement; 2) Attachment 3; 3) Attachment 1; and 4)
Attachment 2.
7. CONTRACTOR shall deliver the proceeds of sales made on behalf of the Town
pursuant to this Agreement to the Town within thirty (30) days of sale.
8. CONTRACTOR shall comply with all applicable Federal, State, and local laws and
regulations governing the auction, notice of sale, and disposition of proceeds of the items to be
sold pursuant to this Agreement.
9. CONTRACTOR warrants that it is an equal opportunity employer and shall comply
with applicable regulations governing equal employment opportunity. Neither
CONTRACTOR nor its subcontractors do and neither shall discriminate against persons
employed or seeking employment with them on the basis of age, sex, color, race, marital
status, sexual orientation, ancestry, physical or mental disability, national origin, religion, or
medical condition, unless based upon a bona fide occupational qualification pursuant to the
California Fair Employment & Housing Act.
10. CONTRACTOR shall save, keep and hold harmless indemnify and defend the
Town its officers, agent, employees and volunteers from all damages, liabilities, penalties,
costs, or expenses in law or equity that may at any time arise or be set up because of damages

to property or personal injury received by reason of, or in the course of performing work
which may be occasioned by a willful or negligent act or omissions of the CONTRACTOR, or
any of the CONTRACTOR's officers, employees, or agents or any subCONTRACTOR.
11. No failure on the part of either party to exercise any right or remedy hereunder
shall operate as a waiver of any other right or remedy that party may have hereunder, nor does
waiver of a breach or default under this Agreement constitute a continuing waiver of a
subsequent breach of the same or any other provision of this Agreement.
12. This Agreement, regardless of where executed, shall be governed by and
construed according to the laws of the State of California.
13. The term of this Agremeent is for a period from 1995, to
, 1996, and the parties may agree to extend the Agreement for two
additional one -year periods. Town and CONTRACTOR shall have the right to terminate this
agreement with or without cause and at any time, by giving not less than thirty (30) days'
written notice of termination. In the event of termination, CONTRACTOR shall deliver all
unsold items of the Town held by CONTRACTOR to the Town.
14. This Agreement is not intended to provide CONTRACTOR with an exclusive
right to sell or dispose of unclaimed, abandoned, or seized items or surplus Town property,
and the Town may elect to sell or dispose of such property through another process or by
alternative auction.
15. No modification, waiver, mutual termination, or amendment of this Agreement is
effective unless made in writing and signed by the Town and the CONTRACTOR.
IN WITNESS WHEREOF, the Town and CONTRACTOR have executed this
Agreement as of the date indicated on page one (1).

AUCTION SERVICES SPECIFICATIONS REQUEST FOR PROPOSALS
TOWN OF LOS GATOS
1.0 PURPOSE OF REQUEST FOR PROPOSALS (RFP)
The Town of Los Gatos is inviting the submission of written proposals for an exclusive
contract from firms able to provide auction services as outlined in this document. The
variety of property includes vehicles, heavy equipment, furniture, office machines,
appliances, unclaimed property, and other items which have been used by the Town
for its various operations. In addition, asset seizures by the Los Gatos Police
Department may result in the need for the disposal of cars, boats, jewelry, tools, musical
instruments, and other uncommon items.
As sales of real property are rare (whether it be Town property or the result of asset
seizure), the awarded contract will not include real property disposal.
2.0 BACKGROUND
The Town of Los Gatos currently contracts with an auction service to provide the sale
of these various items off -site, at the firm's own facility. The firm picks up the Town's
goods on demand, conducts sales as needed. The timing of the pickup of the Town's
goods determines when they are sold. The auctioneer is required to return the proceeds
of the sale, less the auctioneer's commission to the Town of Los Gatos along with
documentation of the sale price of each item, within thirty (30) days of the sale. This
general procedure has proven to be the most beneficial to the Town, maintaining
expeditious disposal and clear tracking of the sold items. It is desired that this
methodology be used by the firm who is awarded a contract as a result of this Request for
Proposals.
3.0 GENERAL REQUIREMENTS
Interested auction services shall provide the following information:
3.1 Name, address, date established, and description of auction service history.
3.2 Size of staff and professional qualifications.
3.3 Experience with government agencies, if any.
3.4 Evidence of insurance coverage if awarded the contract. The auction service shall
meet the Town of Los Gatos insurance requirements, a Town of Los Gatos
business license, bond with Secretary of State, financial specialty and working
capital sufficient to perform the required services.
3.5 Current license in good standing as issued by the State of California Auctioneer
Commission.
4.0 ADDITIONAL SUBMITTALS REQUIRED
4.1 Client References. Current client references from both public and private sectors
with a contact name and phone number, including type of service and approximate
annual volume.
4.2 Staffing Plan. Detailed staffing plan for the administration of the proposed
contract including the person designated to be assigned to the Town's account.
5.0 SERVICE REQUIREMENTS
Proposals submitted in response to the RFP shall reflect in detail the auction service
ability to provide the following minimum service requirements.
5.1 Auction services shall be performed on a site owned or leased by the auction
service. No auction will be conducted on Town property.
5.2 Auction services shall be available on an "as needed" basis, with auctions
at the auction service site.
5.3 Auction services shall be able to provide transportation at the Town's request from
the following sites to the auction site:

Los Gatos, CA 95030
5.4 Storage of vehicles and equipment prior to the auction date shall be within an
enclosed, secure area.
5.5 Long term storage shall be available for confiscated vehicles which are being held
during the legal process.
5.6 Auction services shall provide for all DMV transfers. It shall be able to
process documents at the Town's request required by the DMV for transfer of title
to buyer.
5.7 Auction Service shall prepare and provide brochures detailing items to be sold by
lot number and describing vehicles, equipment, make, model, and year of units
offered. It shall have an established mailing list for review. Auction
Service shall advertise the auction date and publish information about the
auctions in the Los Gatos Weekly newspaper.
5.8 All sales shall be final and all vehicles, equipment, and miscellaneous equipment
shall be sold "as is" with no responsibility to the Town for the condition
of the vehicle, equipment or miscellaneous equipment after the sale.
5.9 Auction services shall be responsible for collecting funds, clearing checks where
applicable and depositing same in the bank.
5.10 Within thirty (30) working days from the date of sale, Auction services shall
deposit with the Town, in the form of a Certified or Cashier's check, the entire
amount bid less auctioneer commission fees. The Town shall require a recap of
sale, see Section 5.11.
5.11 A list of vehicles, equipment and miscellaneous equipment sold shall be provided
to the Town with the following information:
A. Auction service lot number
B. Town vehicle /equipment number
C. Vehicle /equipment manufacture name
D. Vehicle /equipment identification/serial number
E. Selling price by individual vehicle/equipment
F. Amount of commission by individual vehicle /equipment
G. Transportation cost by individual vehicle /equipment
R Cost of other services required, by vehicle /equipment
I. Total selling price.
J. Total commissions.
K. Total transportation charges.
L. Total other charges.
M. Net proceeds to the Town.
5.12 Auction Service shall obtain from each buyer a duplicate receipt in a form
described by the Town Purchasing Agent. Auction Service shall provide one of
the duplicate receipts to the buyer at the time funds are collected upon sale of an
item or items at auction, and shall return the remaining duplicate receipt
to the Town Purchasing Agent within thirty (3 0) working days from the date of
sale. The following disclaimer shall be printed prominently on the receipt of
the sales slip:
"Any description of the item purchased contained in this receipt or in any brochure or
other document is for the sole purpose of identifying the item and does not warrant the
nature or quality of the item. The item is sold "as is," with all faults, and without recourse
against the Town of Los Gatos. The Town of Los Gatos makes no warranty, guarantee,
or representation, express or implied, that the item is merchantable or fit for any purpose.
The Town of Los Gatos does not know or have reason to know of any particular purpose
for which the buyer requires this item and makes no warranty, guarantee, or
representation that the item will be fit for any particular purpose. The buyer is not
relying in any way on the Town of Los Gatos skill, judgement, or expertise in
purchase of the item_ Buyer acknowledges that no warranty has arisen through trade
custom or course of dealing with the Town of Los Gatos. Buyer further agrees that all
disclaimers of warranty shall be construed liberally in favor of the Town of Los Gatos. No
agent, employee, or representative of the Town of Los Gatos has authority to bind the
Town of Los Gatos to any affirmation, representation, promise, warranty, or guarantee
concerning the item"
6.0 SUPPLEMENTAL INFORMATION
Cost Proposal: Auction Services shall prepare and submit with Proposal a written
response to the Cost Proposal (Appendix A).
7.0 CONTRACT INCLUSION
The proposal document, with its terms and conditions as well as any counter offers which
are accepted by the Town, shall be incorporated into and by reference become part of any
contract resulting from this Request for Proposals.
8.0 TERMS OF AGREEMENT AND TERMINATION FOR CONVENIENCE
The proposed contract shall be for a period of one year with option to extend for two
additional one -year periods. Either parry may terminate the resultant agreement for
convenience by providing thirty (30) calendar written notice by either party.
PROPOSAL REQUIREMENTS AND CONDITIONS
9.0 GENERAL
9.1 This RFP, the evaluation of responses, and the award of any resultant contract
shall be made in conformance with the current purchasing procedures as
they relate to the procurement of goods and services by the Town.
9.2 This RFP includes, in addition to an explanation of the Town's needs which must
be met, instructions which prescribe the format and content of Proposals to be
submitted.
9.3 The contract will be awarded by the Town Council on the basis of formal written
Proposals as submitted by auction services as reflected on the Evaluation Sheet
"Appendix B ". The highest point total will automatically get the contract, subject
to rejection of any or all proposals submitted. If two (2) proposals tie on the point
score, interviews may be conducted , at the sole option of the Town, to allow
auction services to elaborate on their proposals or to request additional
information. The results of such interviews will also be considered in the final
determination of award.
9.4 The auction service will be required to execute an agreement within thirty (30)
days and provide all required insurance and bonds within thirty (30) following
award of contract. (see insurance requirements attached)
10.0 ADDENDA TO RFP
The Town may modify this RFP by issuance of one or more addenda to all parties who
have been furnished the RFP.
11.0 AUCTION SERVICES EXAMINATION OF THIS RFP /QUESTIONS
11.1 Auction services shall examine carefully the entire RFP and any addenda thereto,
and all related materials and data referenced in the RFP or otherwise available,
and shall become fully aware of the nature of conditions to be encountered in
performing services.
11.2 If auction services discover any ambiguity, conflict, omission, or other error or
questions in this RFP, they shall immediately notify the Clerk of the
Town of Los Gatos of such error in writing and request modification of the
document.
11.3 Oral communications with Town officers and employees concerning this RFP shall
not be binding on the Town and shall in no way excuse the auction service of
obligations as set forth in this RFP.

To Whom it may Concern:
This letter is in response to the request for proposal
of auctioneering services for the Town of Los Gatos. While we
are currently under contract with over 150 law enforcement
agencies including the State of California, we are also under
contract with various cities, counties, and other
municipalities to sell their surplus items, vehicles, and
pieces of heavy equipment.
In response to the questions asked by the Town of Los
Gatos on the proposal that we received, please see the
following responses as listed below:
GENERAL REQUIREMENTS
3.1) Roger Ernst and Associates is an auction service that
has been in business since 1984. We have a forty acre
facility in Modesto located at 824 Kiernan Ave. in Modesto,
California. Our complex includes our four monthly auction
sites, our storage yard, a 45,000 square foot warehouse, and
over 10 acres of free parking for our customers on auction
day. On the first Saturday of every month, rain or shine, we
hold an auction that sells over $1,000,000.00 worth of
merchandise to over 2,000 registered bidders. In our past
history, we have sold everything from cars, boats, and
airplanes, to real estate and heavy equipment.
3.2) Currently, we employ 25 full time employees and 45 part
time employees for sale week (car washers, parking
attendants, data processors, cashiers, etc..)

For a complete employee breakdown regarding our firm, please
see the attached staffing breakdown (attachment "A') and
resumes for those who will be involved with the Town of Los
Gatos contract as requested for in 4.2 of this bid proposal
(attachments 'B' & 'c").
3.3) Roger Ernst and Associates have been working with law
enforcement for over 7 years. We started in the beginning
working with local and surrounding agencies and then moved
statewide from there. In July of 1992, Roger Ernst and
Associates were awarded the bid for the State of California
Department of Justice to sell any and all asset seized
merchandise taken in drug raids by the Bureau of Narcotic
Enforcement, and have never looked back. Because of the fact
that most police departments work so closely with the city or
county that they reside in, this has resulted in many
contracts between police departments and cities together.
Since that time, we have geared our sights toward the various
municipalities throughout the state to include various
cities, counties, housing authorities, probation units, and
district attorney's office.
3.4) While Roger Ernst and Associates are currently bonded
for $20,000.00 as required by law from the Secretary of State
of California (please see attachment 'D'), it's not the kind
of bond that we would call as "acceptable" for our clients.
That is why we went to our own insurance agents to have them
set up a policy that is geared towards the agencies and
municipalities that we deal with. The policy that we have
guarantees $1,000,000 liability insurance, s1,000,000
worker's compensation insurance, and $1,000,000 automobile
insurance. But it doesn't stop there. For an additional
guarantee, we also have a $5,000,000 umbrella for
precautionary measures. In addition, the Town of Los Gatos
can rest assured that being we are under contract with over
150 agencies that are all covered in our policy, and so far,
we've never had a problem with insurance yet. Should Roger
Ernst and Associates be awarded the bid with the Town of Los
Gatos, we will add the Town under our policy as "additionally
insured" (please see attachment "E' for a look at the last
insurance policy that Town was under before the contract
between us expired).
As far as evidence of financial specialty /working
capital regarding Roger Ernst and Associates, please note
that while we have been running our monthly auctions for over
the last seven years, we have never hand any types of
problems with finances and payment of all clients. All
financial data is on hand but not available for public
viewing.
Should any questions arise regarding Roger Ernst and
Associates finances, please contact Gary Fitch, business
manager for Ernst and Associates and he will be more than
happy to help straighten out any problems that might arise
regarding this issue. Finally, should the Town of Los Gatos
require Roger Ernst and Associates to procure a Town of Los
Gatos business license, we would comply. However, being that
Roger Ernst and Associates are doing business for the Town of
Los Gatos and not in the Town of Los Gatos, this should not
be necessary.
3.5) The State of California Auctioneer Commission has been
disbanded and they no longer issue auction licenses. This is
now done by the city in which the auction company resides in
via a local business license. Should you have any questions
regarding this matter please call Gary Fitch or Scott Sauls
or you can place a call to the Department of Consumer Affairs
in Sacramento. Please see the attached copy of our local
business license (attachment 'F`).
ADDITIONAL SUBMITTALS REQUIRED
4.1) For this proposal, please see attachment 'G" for a
breakdown of some of our client references.
4.2) The two main employees that would handle the account for
the Town of Los Gatos would be Gary Fitch and Mary Borba.
Mary is the person in charge of overseeing the day to day
operation of the company and has been with the firm since
August of 1981. Mary has done everything from inventory and
lot tagging, to processing of all vehicle paperwork. Mary
will be in charge of the scheduling of all transportation to
and from the Town of Los Gatos and receiving of all Town
merchandise. Gary is the company business manager and has
been with the firm since October of 1991. Gary will be the
one in charge of monitoring the sale of all items from the
Town of Los Gatos (please see attachment 'A' for a company
staffing breakdown, attachments 'B' & 'C' for resumes for Mr.
Fitch and Mrs. Borba).
SERVICE REQUIREMENTS
5.1) All auctions conducted by Roger Ernst and Associates for
the Town of Los Gatos will take place at our auction facility
at 824 Kiernan Ave. in Modesto. This address currently houses
our auction sites, storage yard, our 45,000 square foot
warehouse, and 10 acres of free parking. At no time would
Roger Ernst and Associates hold an auction on the Town of Los
Gatos property unless agreed upon by all parries involved. In
all other instances, all auctions would be at the 824 Kiernan
Ave. site.
5.2) Roger Ernst and Associates have our auction the first
Saturday of every month, rain or shine. The only time that we
have changed this process was on New Year's Day of 1994 due
to the fact that most people are either out of town or have
other plans. By waiting one week, that January sale turned
into one of our largest sales ever. Unless otherwise needed
by the Town of Los Gatos, Roger Ernst and Associates will
always hold an auction the first Saturday of every month.
5.3) Per the proposal for services from the Town of Los
Gatos, Roger Ernst and Associates will provide for all
transportation from the Town's service center facility, and
civic center. We currently have a staff of four truck
drivers, 3 vehicle transport trucks, a 3 -car and 4 -car hauler
for vehicles, a 20 foot box van and 20 and 24 foot trailers
for property room and general merchandise as well as small
pieces of equipment or equipment attachments.
5.4) All vehicles and equipment brought to our auction
facility before that month's auction would be stored either
in the vehicle sale yard or the storage warehouse. The
warehouse has a monitored alarm system, built of cement
construction and has heavy duty sprinkler protection. Should
any item be stored in any of the outside yards, the Town can
rest assured knowing that all of our yards are enclosed by a
cyclone fence draped with a non - visual and permeable mesh
along the entire fence perimeter. For further protection, we
have trained guard dogs for post operational hours as well as
24 hours security guards.
5.5) Any confiscated vehicles seized by the Los Gatos Police
Department can be held in storage by Roger Ernst and
Associates. Any vehicle forfeited for sale at our facility
will never be charged for towing. A six (6) month grace
period is given for all vehicles that we sell; anything over
that six month period will be subject to a $3.00 a day
storage fee until the vehicle sells. All fees would be
deducted from the sales proceeds of the vehicle in question.
Should the vehicle be returned to the owner after court, the
storage fees and towing will be charged to the owner or the
Police department depending on the judgement by the courts.
Should the Town of Los Gatos have any questions regarding
this matter, they can be directed towards our main office to
Gary Fitch or Scott Sauls at (209) 527 -7399.
5.6) For all vehicles or equipment sold by Roger Ernst and
Associates for the Town of Los Gatos, we would need the
following documents upon pick up of all vehicles /items for
sale. The documents are as follows:
1) Pink Slips (signed off by the designated town rep.)
2) Power of Attorney (signed off by the designated town rep.)
3) Odometer Disclosure Statements (these are only needed for
vehicles that are 1986 and newer!)
4) Certified Court Orders or non - judicial Declarations of
Forfeiture for all drug seized vehicles that are released for
auction.
Once all documents are received, Roger Ernst and Associates
will be able to process all documents required by the
Department of Motor Vehicles for transfer of title to the
buyer of the vehicle in questions.
5.7) Every month, Roger Ernst and Associates provide a
monthly catalog that lists every item that is up for sale for
that month's auction (excluding bicycles). For all vehicles
and heavy equipment for sale, they are listed by the lot
number, year, make, and model. For customer convenience, we
also add color, Vehicle Identification Number, odometer
readings, license plates and their expiration dates, whether
they have passed smog or not (in the catalog,`this would be
labeled "SMOG' or "NO SMOG "), and if the mileage on the
vehicle is actual mileage, miles over the odometer capacity,
or mileage unknown. Also for any cars that come in with
"extras" like pull out stereos, phones, or service records,
these items are taken from the cars and placed in the office
where the buyer will pick them up after payment has been
received in full. All "extra" items like these would also be
written in the catalog for the buyer's information.
Roger Ernst and Associates have one of the most
extensive mailing lists for auction houses in California. We
started with this idea in 1989 with only about 3,000 people
and it has grown from there to reach between 15,000 to 20,000
people per month. We send this brochure out to anyone
requesting one throughout the month as well as one to every
registered bidder from the previous months' auction. We send
this brochure out to the head of every Police Department and
Sheriff's Office throughout California. The brochure is full
color and has about 25 -35 picture of any "high interest"
items that are cleared for that particular months' sale. The
brochure is a good way to advertise any specialty items that
we may have for that month as well as any asset seized real
estate sales that we might have coming up in the future. The
mailing list can be submitted to the Town of Los Gatos for
review if deemed necessary by the officers of the Town of Los
Gatos.
Currently, Roger Ernst and Associates advertise with
numerous newspaper and various print publications in order to
cover the largest customer base possible. These include the
Modesto and Sacramento Bee, San Francisco Chronicle, San Jose
Mercury, Stockton Record, Merced Sun -Star, Tri- Valley Herald,
Diablo Dealer, Auto & Truck Trader, Photo Deals, Wheels and
Deals, Auto View, Magic Ads, and assorted radio and
Television advertising done the week of the auction.
Should the Town of Los Gatos deem it necessary to
advertise in the weekly Town of Los Gatos newspaper, please
let us know after the bid has been awarded so that we can get
the ball rolling for the first sale that we conduct for the
Town of Los Gatos.
5.8) Being that Roger Ernst and Associates sell narcotic
seized vehicles and merchandise, we have no idea how these
People took care of their vehicles and property. That is why
we sell all items 'AS -IS, WHERE IS', with no warranties
expressed or implied to all buyers. These terms of sale are
posted throughout the auction facility as well as being
written in all catalogs, and before each auction, our
auctioneers read these "terms of sale" to all prospective
bidders. All sales that take place with Roger Ernst and
Associates are always 'final' with no responsibility to the
seller, in this case, the Town of Los Gatos (please see
section 5.12 and attachment 'I" for additional information
regarding •AS -IS' conditions).
5.9) Roger Ernst and Associates do have established "Terms of
Sale" that we accept for payment of purchases from the
auction. These include: cash, cashier's checks, money orders,
travelers checks, Visa, Mastercard, Discover Card, and ATM
cards that are on the Explore or Interlink Networks. We do
accept personal or company checks, but they must be
accompanied with a "Letter of Guarantee" from the bank that
the check is drawn from. Roger Ernst and Associates will be
responsible for the collecting of all monies derived from
checks and /or credit cards.
5.10) Roger Ernst and Associates have always paid our
agencies within fifteen (15) banking days from the date of
our monthly auction. When the Town of Los Gatos would receive
a check for anything sold by Roger Ernst and Associates, it
would be accompanied with a consignor report that will list
all information needed for the Town of Los Gatos records. The
Town of Los Gatos would receive a company check from Ernst
and Associates. For a description of the consignor report,
please see section 5.11 as listed below.
5.11) After the sale of all items from the Town of Los Gatos,
the Town will receive a copy of the consignment report that
will list the following information needed for the Town
records and would receive copies of any work orders done by
Roger Ernst and Associates for the Town of Los Gatos (i.e.
smogs, minor repairs, transportation costs, etc...). The
information is as follows (please see attachment "J "):
A) Lot number is listed on the far left hand side under the
heading "Lot #"
B) The Town vehicle /equipment number would be listed on the
fifth line under each description of every lot (should the
number be given).
C) The vehicle /equipment name and model would both be listed
on the first line under each description of every lot.
D) The vehicle /equipment identification or serial number
would be listed on the second /third line under each
description of every lot.
E) The selling price of every lot would be on the far right
hand side under the heading "Price ".
F) Commission per vehicle is not listed under our auction
software. Instead, at the end of the consignor report, the
total commission for the complete sale of Town items would be
given.
G) Transportation per vehicle would not be listed for each
individual vehicle /equipment; instead, at the end of the
consignor report, the "Deductions" column would list the
total deductions for the complete sale of Town items. The
deduction column would also encompass all work done to any
vehicles, smog deductions (if we had the Town vehicles
smogged) as well as transportation deductions (if any),
H) Any costs to the Town would be listed under the
"deductions" column and would be accompanied by copies of
said costs for the Town's auction records.
I) The last page will have a total selling price (gross
totals) for all items sold for the Town of Los Gatos.
J) The final page will have a "total commissions" section for
all items sold for the Town of Los Gatos.
K) Total transportation charges (if any) would be listed
under the "deduction" column but. would also be accompanied
with copies of all transportation receipts.
L) Please see section H
M) The last line on the consignor report is the "Net Dollar"
amount to be paid by Roger Ernst and Associates to the Town
of Los Gatos.
5.12) Roger Ernst and Associates will collect from each buyer
a copy of the 'AS -IS Disclaimer' needed for the records of
the Town of Los Gatos. Currently, Roger Ernst and Associates
do obtain a "vehicle AS -IS agreement from each buyer (please
see attachment 'I'). Should this statement be satisfactory to
the Town, Roger Ernst and Associates will continue to use our
existing documents. Unless requested by the Town of Los
Gatos, Roger Ernst and Associates will keep all copies of the
"AS -IS" agreement on file.
SUPPLEMENTAL INFORMATION - COST PROPOSAL
APPENDIX "A"
Al & A3) Roger Ernst and Associates will charge the Town of
Los Gatos a 10%c commission for all rolling stock (motor
vehicles, running and non - running, heavy equipment and off
road vehicles.
A2) Roger Ernst and Associates will charge the Town of Los
Gatos a 25: commission on all surplus property for the Town
corp, yard and unclaimed police property.
Please note that our commissions on all items sold for the
Town of Los Gatos covers all advertising costs that would
relate to the auctioning of the Town of Los Gatos property.
TRANSPORTATION CHARGES AND OTHER SERVICES
61,2,3, & 4) Roger Ernst and Associates will never charge for
transportation of vehicles or surplus property for auction.
However, should the Town of Los Gatos require lowboy service
for transportation of any large pieces of heavy equipment. for
auction, Roger Ernst and Associates would impose a $20.00 per
hour transportation fee.
B 5 -9) Roger Ernst and Associates believe in getting the
highest net dollar amount for the agencies that we sell for.
Should the Town of Los Gatos have any requests for certain
Pieces to be detailed, Roger Ernst and Associates will
accommodate that request free of charge.
For logos and numbers on vehicles, Roger Ernst and
Associates would request for the Town to take care of that
before we pick up all pieces /vehicles for auction. Should
this create a problem for the Town, please let us know and we
will do our best to accommodate the Town.
89) Roger Ernst and Associates ask that all Town "E" license
plates be removed before they are transported to our facility
for auction.
C) Roger Ernst and Associates would only impose storage fees
on those vehicles that have been asset seized by the Los
Gatos Police Department. For a breakdown of how the storage
fees would work, please see Section 5.5 of this proposal.

for allowing us the opportunity to bid on this contract. We
hope that our services up to this point have been more than
satisfactory, and will continue to do so in the future.

ATTACHMENT 3 -- INSURANCE REQUIREMENTS
A. Minimum Scope of Insurance:
i. CONTRACTOR agrees to have and maintain, for the duration of the
contract, General Liability insurance policies insuring him/her and
his /her firm to an amount not less than: one million dollars
($1,000,000) combined single limit per occurrence for bodily injury,
personal injury and property damage.
ii. CONTRACTOR agrees to have and maintain for the duration of the
contract, an Automobile Liability insurance policy ensuring him/her and
his /her staff to an amount not less than one million dollars ($1,000,000)
combined single limit per accident for bodily injury and property
damage.
iii. CONTRACTOR shall provide to the Town all certificates of insurance,
with original endorsements effecting coverage. CONTRACTOR agrees
that all certificates and endorsements are to be received and approved by
the Town before work commences.
iv. CONTRACTOR agrees to have and maintain, for the duration of the
contract, professional liability insurance in amounts not less than
$1,000,000 which is sufficient to insure CONTRACTOR for
professional errors or omissions in the performance of the particular
scope of work under this agreement.
B. General Liability:
L The Town, its officers, officials, employees and volunteers are to be
covered as insured as respects: liability arising out of activities
performed by or on behalf of the CONTRACTOR; products and
completed operations of CONTRACTOR, premises owned or used by
the CONTRACTOR. This requirement does not apply to the
professional liability insurance required for professional errors and
omissions.
ii. The CONTRACTOR's insurance coverage shall be primary insurance as
respects the Town, its officers, officials, employees and volunteers.
Any insurance or self - insurances maintained by the Town, its officers,
officials, employees or volunteers shall be excess of the
CONTRACTOR's insurance and shall not contribute with it.

iii. Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the Town, its officers, officials, employees
or volunteers.
iv. The CONTRACTOR's insurance shall apply separately to each insured
against whom a claim is made or suit is brought, except with respect to
the limits of the insurer's liability.
C. All Coverages: Each insurance policy required in this item shall be endorsed to
state that coverage shall not be suspended, voided, cancelled, reduced in
coverage or in limits except after thirty (30) days' prior written notice by
certified mail, return receipt requested, has been given to the Town. current
certification of such insurance shall be kept on file at all times during the term
of this agreement with the Town Clerk.
D. In addition to these policies, CONTRACTOR shall have and maintain Workers'
Compensation insurance as required by California law and shall provide
evidence of such policy to the Town before beginning services under this
Agreement. Further, CONTRACTOR shall ensure that all subcontractors
employed by CONTRACTOR provide the required Workers' Compensation
insurance for their respective employees.
