JOINT RESOLUTION OF THE TOWN COUNCIL OF THE
TOWN OF LOS GATOS AND THE REDEVELOPMENT
AGENCY OF THE TOWN OF LOS GATOS
ESTABLISHING THE ADOPT -A -BENCH PROGRAM
WHEREAS, the existing benches and trash receptacles located along Santa Cruz Avenue
and Main Street are in various states of disrepair and need to be replaced; and
WHEREAS, the Five -Year Implementation Plan for the Central Los Gatos
Redevelopment Project includes streetscape improvements (benches, trash receptacles, and
landscape planters for 1995 -96; and
WHEREAS, Redevelopment Agency funds are insufficient to replace all of the benches
and trash receptacles; and
WHEREAS, an opportunity exists to create a public / private partnership that combines
funding from the Redevelopment Agency and private donations to pay for benches and trash
receptacles.
RESOLVED: that the Los Gatos Town Council and the Los Gatos Town Redevelopment
Agency do hereby establish the Adopt -A -Bench Program as described in Exhibit A attached
hereto.
PASSED AND ADOPTED at a joint meeting of the Town Council and Redevelopment
Agency of the Town of Los Gatos this 18th day of September, 1995, by the following votes:

ADOPT -A -BENCH PROGRAM
Program Description:
The Town of Los Gatos established the Adopt -A -Bench Program to increase public interest in the
downtown and to create a way for individuals and businesses to contribute donations towards the
cost of new benches and trash receptacles. The Program creates a public / private partnership that
combines matching funds from the Los Gatos Redevelopment Agency with each donation.
Costs:
The total cost (i.e. item cost, tax, freight, maintenance, installation) for each bench and trash
receptacle will be shared by the donor and Redevelopment Agency. The donor will contribute 60%
and the Redevelopment Agency will contribute 40 %. The Agency will provide the matching funds
in the form of a grant to the Town. The Town will create an Adopt -A -Bench designated account for
all donations and the Agency grant funds will be placed in a fixed asset purchase account. When
a donation is made to the Town and the item is ordered, the Agency's contribution will be transferred
to the designated account. The account will provide a funding source for the Department of Parks,
Forestry and Maintenance Services (PFM) to purchase, install, and maintain the benches and trash
receptacles. If theAgency is unable to fund a grant or the grant funds have been exhausted, the donor
may pay the total cost of the item.
Terms and Conditions of Donation:
All donors will sign an Acknowledgement Form describing the terms and conditions of the donation
including the Town's maintenance responsibilities. The Acknowledgement Form indicates that the
Town will provide routine maintenance and repair of the bench / trash receptacle but the public
interest or limitations on public monies may cause the Town to relocate or otherwise dispose of the
item. Each donor may request that a brass plaque with a personalized inscription be affixed to the
bench or trash receptacle.
Guidelines:
Each donor may sponsor a specific bench or trash receptacle by selecting the item from the Central
Business District Streetscape and Improvement Guidelines. The Guidelines establish the Town's
standards for the streetscape improvements including the manufacturer, model, and specifications
for installation. The Donor may identify the preferred location for the item. The Town will install
the item as close as possible to the preferred location but the exact location is specified by the
Streetscape Guidelines.

DONOR ACKNOWLEDGEMENT FORM

Donor has read and understood the information contained in the attached document entitled, "Town
of Los Gatos Adopt -A -Bench Program."
1. Donor wishes a plaque to be affixed to the bench / trash receptacle that Donor has selected
that is to read as follows:
2. The Town intends to purchase and install the bench / trash receptacle generally in the location
shown on the attached map. The Town also intends to perform routine maintenance and repair on
the item after installation.
3. Donor understands that after installation, the Town has sole discretion to relocate or remove
the bench / trash receptacle, and while the Town presently intends to maintain the item in its current
location for the foreseeable future, the public interest or limitations on public monies may cause the
Town to relocate the item or otherwise dispose of the item.
4. Donor has no liability for the bench / trash receptacle following Donor's donation, and the
Town agrees to hold the Donor harmless from all damages, liabilities, penalties, costs, or expenses
in law or equity that may at any time arise or be set up because of damages to property or personal
injury arising from the purchase, placement, or maintenance of the bench / trash receptacle.

Los Gatos Downtown Association
1. The Downtown Association has worked with committmert for
two years on the streetscape plan and is extremely knowledgeable with
the history, goals, and purposes of such a plan. The Board of Directors
regrets that the Redevelopment Agency Committee did not request or
have this extensive background information before interviewing potential
Streetscape Designers. We strongly request that our expertise be sought
before the committee votes on a Designer.
2. The recommendation of the Board of Directors of the Los Gatos
Downtown Association is that the Team of Oberdorfer and Rodriguez be
selected for the streetscape design project.
3. We have been so encouraged by the response to the Adopt-&-
Bench program that we feel there should be some way to immediately
allow donated benches in locations where there are temporary bench
permits. Citizens who have been calling and are anxious to gift the town
with a bench do not understand the reasons for delay.
Please understand that with energy and committment our
beautification committee has worked on issues dealing with
Redevelopment. We feel strongly that our input is vital for your
committee to make appropriate recommendations to the Redevelopment
Agency.
