RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO EXECUTE
AMENDMENTS TO AGREEMENTS WITH FAMILY SERVICE ASSOCIATION, INC.
FY 1995 -96
BE IT RESOLVED by the Town Council of the Town of Los Gatos that the Town
Council authorize the Town Manager to execute amendments to agreements with Family Service
Association: A. Community Grant Agreement Amendment to increase funding for FY 1995 -96
(Exhibit A); B. Neighborhood Center Lease Agreement Amendment to include use of Room 208
(Exhibit B).
THEREFORE BE IT RESOLVED: This decision constitutes a final administrative
decision pursuant to Code of Civil Procedure section 1094.6 as adopted by section 1. 10.085 of
the Town Code of the Town of Los Gatos. Any application for judicial relief from this decision
must be sought within the time limits and pursuant to the procedures established by Code of Civil
Procedure section 1094.6, or such shorter time as required by state or federal law.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town of Los
Gatos, California, held on the 20th day of November, 1995, by the following vote:

AMENDMENT TO LEASE AGREEMENT BY AND BETWEEN
THE TOWN OF LOS GATOS AND FAMILY SERVICE ASSOCIATION, INC.,
REPRESENTING THE LOS GATOS DOWNTOWN NEIGHBORHOOD CENTER
This AMENDMENT TO LEASE, is made and entered into this _ day of
1995, and is effective as of the lst day of December, 1995, by and between
the TOWN OF LOS GATOS, a municipal corporation of the State of California, (hereinafter
referred to as "TOWN ") and FAMILY SERVICE ASSOCIATION, INC., a nonprofit
organization, (hereinafter referred to as "TENANT ").
WHEREAS, TOWN and TENANT executed a LEASE AGREEMENT on July 1,
1995; and
IT IS MUTUALLY AGREED BY AND BETWEEN THE PARTIES to replace
Sections 1, 2, and 3 of the 1995 Lease with the following:
1. Leasing: Town hereby leases to TENANT, and TENANT hereby leases from
TOWN, Rooms 3, 6, and 208 of the Neighborhood Center, consisting of eight hundred forty-
three square feet (843 sq. ft.) located at 208 E. Main Street, Los Gatos, Santa Clara County,
California.
2. Term: The lease term shall commence on July 1, 1995, and extend through
June 30, 1996, subject to the termination provisions set forth in the Lease Agreement dated
June 1, 1995. Room 208 will be leased to tenant beginning December 1, 1995.
3. Maintenance Fee: The rent shall be Nine Hundred Eighty-Six Dollars and
Thirty-Three Cents ($986.33) per month. Said rent is calculated according to the estimated
operational costs, One Dollar and Seventeen Cents ($1.17) per square foot, multiplied by the
square footage occupied by the TENANT (843 sq. ft.) for a total of Eleven Thousand Eight
Hundred Thirty -Five Dollars and Ninety-Six Cents ($11,835.96) for the lease year.
4. The terms and conditions of the original Lease dated July 1, 1995, except as
herein expressly amended, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Lease on the date written
above, effective December 1, 1995.

PROGRAM_GOALS AND OBJECTI
A. To enable seniors, particularly the frail and low income, to cope with
stresses of later life obtain the assistance they require to maintain their
independence in their Los Gatos community. The Older Adult project of
Family Service Association of Santa Clara Valley will provide a variety of in-
home supportive services" designed to keep the elderly independent and
free from institutionalization, and to keep them at their optimum level of
functioning. This will be accomplished through the following objectives:
1. Comprehensive Case Management - In -home comprehensive
assessments, social services, and ongoing case management to very frail
and /or homebound elderly residents of Los Gatos. 75 unduplicated
cases /year.
2. Mini Case Management - Mini assessments with referral/linkage services
provided to 176 unduplicated cases /year.

Homemaker
Housing
Legal
Transportation
Shopping
Mental health counseling
Nutrition
Respite /Day care
SNF /RCH
Socialization /Enrichment
Phone assurance /safety
Other
B. To locate unserved /underserved senior Los Gatos residents.
1. Outreach services will reach 151 residents /year.
C. To assist adolescents who are in a crisis situation and their families to avoid
an escalation of the problem which might lead to criminal justice
involvement or other serious consequences; and then to help them begin to
discover and resolve the problems which led to the crisis.
Professional counselors carry cellular phones and respond to crises 24
hours per day. They meet adolescents and families at the FSA -SCV
office or at any other location in the community.
2. FSA -SCV is funded by the County Social Service Agency to provide up
to 10 hours of crisis follow -up service for each clientlfamily-

THIRD AMENDMENT TO AGREEMENT FOR COMMUNITY SERVICES
BY AND BETWEEN THE TOWN OF LOS GATOS AND
THE FAMILY SERVICE ASSOCIATION OF SANTA CLARA VALLEY
FISCAL YEAR 1995 -96
This THIRD AMENDMENT TO AGREEMENT is entered into this _ day of
, 1995, and is effective as of the 1st day of December, 1995, by and between TOWN OF
LOS GATOS, a municipal corporation ( "TOWN') and THE FAMILY SERVICE ASSOCIATION
OF SANTA CLARA VALLEY ( "CONTRACTOR ").
WHEREAS, TOWN and CONTRACTOR executed an Agreement for Community
Services on July 1, 1993;
WHEREAS, TOWN and CONTRACTOR executed an Amendment to Agreement
for Community Services on July 1, 1994;
WHEREAS, the TOWN and CONTRACTOR exeucted an Amendment to Agreement
for Community Services on July 1, 1995; and
WHEREAS, the Town Council has approved additional grant funds for FY 1995 -96
to CONTRACTOR to pay maintenance fees for use of Neighborhood Center Room 208;
AGREEMENT:
IT IS THEREFORE AGREED by the parties as follows:
1. Exhibits B and C, Part I, of the 1995Agreement Amendment are replaced
with Exhibits B and C, Part I, attached.
2. Second paragraph of WITNESSETH section, page 1, of the 1995 Agreement
Amendment is replaced with the following: WHEREAS, TOWN desires to
engage CONTRACTOR, and TOWN has appropriated funds not to exceed
thirteen thousand six hundred thirty dollars ($13,630.00), to be utilized
during the time period between July 1, 1995, and June 30, 1996, for the
purpose of meeting the goals and objectives outlined in EXHIBIT B,
g
"SCOPE OF SERVICES" (hereinafter PROGRAM), operating within the
TOWN OF LOS GATOS from facilities located at 208 East Main Street, Los
Gatos, California, and benefitting older adults through case management.
3. The terms and conditions of the original Agreement and the subsequent
amendments described in the Recitals, except as herein expressly amended,
shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Agreement for
Community Services on the date written above, effective December 1, 1995.
