RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS
AUTHORIZING TOWN MANAGER TO EXECUTE AGREEMENT WITH CAREY & CO.,
INC. FOR CONSULTING SERVICES ON LYNDON CUPOLA RESTORATION
PROJECT #9503 (475CUPOK) AT OAK MEADOW PARK
WHEREAS, the Town of Los Gatos (the "Owner ") intends to restore the Victorian cupola
from the old Lyndon Carriage House, originally built in Los Gatos in 1888; and
WHEREAS, the Town intends to place it in Oak Meadow Park; and
WHEREAS, Request for Proposals were requested and received; and
WHEREAS, the Cupola Restoration Committee reviewed proposals, interviewed
consultants, and recommends Carey & Company be retained to provide consulting services; and
WHEREAS, Carey & Company, Inc. ( "Consultant ") have expertise in Historic
Architecture and Restoration Projects to assist the Town in meeting its objectives.
THEREFORE, BE IT RESOLVED, that the Town Manager is authorized to execute the
agreement attached hereto as Exhibit A with Carey & Company, Inc. for consulting services on
Lyndon Cupola Restoration Project #9503 (475CUPOK) at Oak Meadow Park.

THIS AGREEMENT is entered into this day of 19_ by
and between the Town of Los Gatos , State of California, herein called the "Owner" and Carey
& Company, Inc. engaged in providing consulting services herein called the "Consultant.,,
A. The Town of Los Gatos intends to restore the Victorian cupola from the old Lyndon
Carriage House, originally built in Los Gatos in 1888 and to place it in Oak Meadow
Park.
B. Because of Consultant's historic project and design experience and qualifications, the
Town of Los Gatos desires to engage Consultant to:
1. Evaluate the existing condition of the cupola.
2. Develop a scope of service and guideline for the historical restoration of the cupola.
3. Develop design and construction plans for placing cupola in Oak Meadow Park.
C. The Consultant represents and affirms that it is qualified and willing to perform the desired
work pursuant to this Agreement.
THE PARTIES AGREE AS FOLLOWS:

No work on Part C shall commence without express written authorization from the Town
of Los Gatos.
1. Prepare schematic design (2 schemes.)
2. Review designs with Owner and Committee.
3. Prepare construction documents.
4. Coordinate with Owner's cost estimator.
5. Meet with staff (Development Review Committee.)
6. Prepare bid documents.
7. Review with Owner and Committee
8. Public Meeting - one session: Town Council
3. Time of Performance. The services of the Consultant are to commence upon the execution
of this Agreement with completion of Part A (existing condition analysis) by December
12, 1995. Completion of Part B (scope and guidelines for restoration) shall occur two
weeks after receiving authorization to proceed. The Consultant shall complete Part C; the
construction plans, specifications, and estimates eleven weeks after receiving authorization
to proceed. The time of performance as described above is consistent with the schedule
included in Consultants "Proposal for Restoration of the John W. Lyndon Cupola"
(attached hereto as Exhibit "1" and incorporated by reference herein).
4. Compliance with Laws. The Consultant shall comply with all applicable laws, codes,
ordinances, and regulations of governing federal, state and local laws. Consultant
represents and warrants to Town of Los Gatos that it has all licenses, permits,
qualifications and approvals of whatsoever nature which are legally required for
Consultant to practice its profession. Consultant represents and warrants to Town of Los
Gatos that Consultant shall, at its sole cost and expense, keep in effect or obtain at all
times during the term of this Agreement any licenses, permits, and approvals which are
legally required for Consultant to practice its profession. Consultant shall maintain a

Town of Los Gatos business license pursuant to Chapter 14 of the Code of the Town of
,Los Gatos.
5. Sole Responsibility. Consultant shall be responsible for employing or engaging all persons
necessary to perform the services under this Agreement. Should additional consultants be
required they will be under separate contract.
6. Information/Report Handlin¢. All plans and documents furnished to Consultant by the
Town of Los Gatos and all plans, reports and supportive data prepared by the Consultant
under this Agreement are the Town of Los Gatos's property and shall be delivered to the
Town of Los Gatos upon the completion of Consultant's services or at the Town of Los
Gatos's written request. All plans, reports, information, data, and exhibits prepared or
assembled by Consultant in connection with the performance of its services pursuant to this
Agreement are confidential until released by the Town of Los Gatos to the public, and the
Consultant shall not make any of the these documents or information available to any
individual or organization not employed by the Consultant or the Town of Los Gatos
without the written consent of the Town of Los Gatos before such release. The Town of
Los Gatos acknowledges that the plans and reports to be prepared by the Consultant
pursuant to this Agreement are for the purpose of evaluating a defined project, and Town
of Los Gatos's use of the information contained in the reports prepared by the Consultant
in connection with other projects shall be solely at Town of Los Gatos's risk, unless
Consultant expressly consents to such use in writing. Town of Los Gatos further agrees
that it will not appropriate any methodology or technique of Consultant which is and has
been confirmed in writing by Consultant to be a trade secret of Consultant.
7. Compensation. Compensation for Consultant's professional services shall not exceed
$8,600.00. Payment shall be based upon Town of Los Gatos approval of each task
identified in the Scope of Work section of this Agreement.
Billing shall be accompanied by a detailed explanation of the work performed by whom,
at what rate, and on what date. Receipts for reimbursable expenses shall be included in
all billings. Also, plans, specifications, documents or other pertinent materials shall be
submitted for Town of Los Gatos review, even if only in partial or draft form.
8. Availability of Records. Consultant shall maintain the records supporting this billing for
not less than three (3) years following completion of the work under this Agreement.
Consultant shall make these records available to authorized personnel of the Town of Los
Gatos at the Consultant's offices during business hours upon written request of the Town
of Los Gatos.
9. Project Manager. The Project Manager for the Consultant for the work under this
Agreement shall be Alice Carey or her designated representative.

10. Assignability and Subeontracting. The services to be performed under this Agreement are
unique and personal to the Consultant. No portion of these services shall be assigned or
subcontracted without the written consent of the Town of Los Gatos.
11.
Notices. Any notice required to be given shall be deemed to be duly and properly given
if mailed postage prepaid, and addressed to:

or personally delivered to Consultant to such address or such other address as Consultant
designates in writing to Town of Los Gatos.
12. Independent Contractor. It is understood that the Consultant, in the performance of the
work and services agreed to be performed, shall act as and be an independent contractor
and not an agent or employee of the Town of Los Gatos. As an independent contractor
he /she shall not obtain any rights to retirement benefits or other benefits which accrue to
Town of Los Gatos employee(s). With prior written consent, the Consultant may perform
some obligations under this Agreement by subcontracting, but may not delegate ultimate
responsibility for performance or assign or transfer interests under this Agreement.
Consultant agrees to testify in any litigation brought regarding the subject of the work to
be performed under this Agreement. Consultant shall be compensated for its costs and
expenses in preparing for, traveling to, and testifying in such matters at its then current
hourly rates of compensation, unless such litigation is brought by Consultant or is based
on allegations of Consultant's negligent performance or wrongdoing.
13. Conflict of Interest. Consultant understands that its professional responsibilities are solely
to the Town of Los Gatos. The Consultant has and shall not obtain any holding or interest
within the Town of Los Gatos. Consultant has no business holdings or agreements with
any individual member of the Staff or management of the Town of Los Gatos or its
representatives nor shall it enter into any such holdings or agreements. In addition,
Consultant warrants that it does not presently and shall not acquire any direct or indirect
interest adverse to those of the Town of Los Gatos in the subject of this Agreement, and

it shall immediately disassociate itself from such an interest should it discover it has done
s so. Consultant shall not knowingly and shall take reasonable steps to ensure that it does
not employ a person having such an interest in this performance of this Agreement. If
after employment of a person, Consultant discovers it has employed a person with a direct
or indirect interest that would conflict with its performance of this Agreement, Consultant
shall promptly sever this employment relationship.
14. Equal Employment Opportunity. Consultant warrants that it is an equal opportunity
employer and shall comply with applicable regulations governing equal employment
opportunity. Neither Consultant nor its subcontractors do and neither shall discriminate
against persons employed or seeking employment with them on the basis of age, sex,
color, race, marital status, sexual orientation, ancestry, physical or mental disability,
national origin, religion, or medical condition, unless based upon a bona fide occupational
qualification pursuant to the California Fair Employment & Housing Act.
15. Insurance
A. Minimum Scope of Insurance:
i. Consultant agrees to have and maintain, for the duration of the contract,
General Liability insurance policies insuring him/her and his /her firm to an
amount not less than: one million dollars ($1,000,000) combined single
limit per occurrence for bodily injury, personal injury and property
damage.
ii. Consultant agrees to have and maintain for the duration of the contract, an
Automobile Liability insurance policy ensuring him/her and his /her staff to
an amount not less than one million dollars ($1,000,000) combined single
limit per accident for bodily injury and property damage.
iii. Consultant shall provide to the Town of Los Gatos all certificates of
insurance, with original endorsements effecting coverage. Consultant
agrees that all certificates and endorsements are to be received and
approved by the Town of Los Gatos before work commences.
iv. Consultant agrees to have and maintain, for the duration of the contract,
professional liability insurance in amounts not less than one million dollars
($1,000,000.) These amounts are sufficient to insure Consultant for
professional errors or omissions in the performance of the particular scope
of work under this agreement.

B. General Liability:
i. The Town of Los Gatos, its officers, officials, employees and volunteers
are to be covered as insured as respects: liability arising out of activities
performed by or on behalf of the Consultant; products and completed
operations of Consultant, premises owned or used by the Consultant. This
requirement does not apply to the professional liability insurance required
for professional errors and omissions.
ii. The Consultant's insurance coverage shall be primary insurance as respects
the Town of Los Gatos, its officers, officials, employees and volunteers.
Any insurance or self - insurances maintained by the Town of Los Gatos, its
officers, officials, employees or volunteers shall be excess of the
Consultant's insurance and shall not contribute with it.
Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the Town of Los Gatos, its officers, officials,
employees or volunteers.
iv. The Consultant's insurance shall apply separately to each insured against
whom a claim is made or suit is brought, except with respect to the limits
of the insurer's liability.
C. All Coverages: Each insurance policy required in this item shall be endorsed to
state that coverage shall not be suspended, voided, cancelled, reduced in coverage
or in limits except after thirty (30) days' prior written notice by certified mail,
return receipt requested, has been given to the Town of Los Gatos. Current
certification of such insurance shall be kept on file at all times during the term of
this agreement with the Secretary of the Redevelopment Town of Los Gatos.
D. In addition to these policies, Consultant shall have and maintain Workers'
Compensation insurance as required by California law and shall provide evidence
of such policy to the Town of Los Gatos before beginning services under this
Agreement. Further, Consultant shall ensure that all subcontractors employed by
Consultant provide the required Workers' Compensation insurance for their
respective employees.
16. Indemnification. The Consultant shall save, keep and hold harmless indemnify and defend
the Town of Los Gatos its officers, agent, employees and volunteers from all damages,
liabilities, penalties, costs, or expenses in law or equity that may at any time arise or be
set up because of damages to property or personal injury received by reason of, or in the
course of performing work which may be occasioned by a willful or negligent act or
omissions of the Consultant, or any of the Consultant's officers, employees, or agents or
any subconsultant.

17. Waive r. No failure on the part of either party to exercise any right or remedy hereunder
shall operate as a waiver of any other right or remedy that party may have hereunder, nor
does waiver of a breach or default under this Agreement constitute a continuing waiver of
a subsequent breach of the same or any other provision of this Agreement.
18. Governing Law. This Agreement, regardless of where executed, shall be governed by and
construed to the laws of the State of California. Venue for any action regarding this
Agreement shall be in the Superior or Municipal Court of either the County of Santa Clara
or the County of San Mateo.
19. Termination of Agreement. The Town of Los Gatos and the Consultant shall have the
right to terminate this agreement with or without cause by giving not less than fifteen (15)
days written notice of termination. In the event of termination, the Consultant shall
deliver to the Town of Los Gatos all plans, files, documents, reports, performed to date
by the Consultant. In the event of such termination, Town of Los Gatos shall pay
Consultant an amount that bears the same ratio to the maximum contract price as the work
delivered to the Town of Los Gatos bears to completed services contemplated under this
Agreement pursuant to Exhibit A hereto, unless such termination is made for cause, in
which event, compensation, if any, shall be adjusted in light of the particular facts and
circumstances involved in such termination.
20. Amendment. No modification, waiver, mutual termination, or amendment of this
Agreement is effective unless made in writing and signed by the Town of Los Gatos and
the Consultant.
21. Disputes, in any dispute over any aspect of this Agreement, the prevailing party shall be
entitled to reasonable attorney's fees, as well as costs not to exceed $7,500 in total.
22. Entire Ag eement. This Agreement constitutes the complete and exclusive statement of
the Agreement between the Town of Los Gatos and Consultant. No terms, conditions,
understandings or agreements purporting to modify or vary this Agreement, unless
hereafter made in writing and signed by the party to be bound, shall be binding on either
party.

Prather Lane Park in Santa Cruz to the large as illustrated by the recently completed Oakland City

PROPOSAL FOR PROFESSIONAL SERVICES
Carey & Co. has reviewed the Request for Proposal issued by the Town of Los Gatos. We have
prepared the proposal outlined below in response to the RFP. It addresses the Owner's
Objectives and the Information to be Submitted. Carey & Co. is pleased to be able to respond
to the Owner's desire to restore and place the John W. Lyndon Cupola so that it may continue
to evoke memories of the Town's past.
I. PROPOSED SCOPE OF SERVICES
APPROACH
Carey & Co. is a designoriented architectural firm which specializes in historic preservation.
For this project, our practice will be predicated on responding to the Owner's Objectives while
respecting the structure's architectural integrity and existing condition.
While working with historically significant structures, the firm designs with sensitivity to the
existing fabric. When possible, we repair rather than replace, and replace rather than redesign.
This minimal approach is consistent with the Secretary of the Interior's Standards for
Rehabilitation, the concerns of the State Office of Historic Preservation, and criteria used for
approvals by local reviewing agencies. Carey & Co.'s past experience has shown that this
approach invariably results in cost savings to the client.
In addition to sensitively treating the Cupola itself, we will introduce new design elements that
are in keeping with the Cupola's architecture. An important consideration will be
incorporation of ideas on how best to interpret the Cupola in its current state as a remnant of
previous history. An interpretation plan should be developed along with, or preferably, before
beginning the schematic design process.
PROPOSED SCOPE OF SERVICES
Carey & Co. will undertake the following activities in fulfilling the Owner's Objectives:
Evaluate the Existing Condition of the Cupola
A. Obtain all existing information about the Cupola from the Owner. The Owner should
provide the Consultant with any information it has about the structure. One essential piece
of information will be photographs of each elevation of the Cupola. We plan to use photo•
elevations rather than line drawings of the structure. We believe that this will save time and
funds during the construction documents phase. Therefore, we would like to receive good,
clear perspective - corrected black and white photographs of the Cupola from the Owner.
B. Undertake a site visit to evaluate the existing condition of the Cupola. We will note the
condition of the structure and take photographs (in addition to the photographs provided

C. Prepare a brief, written report on the condition of the Cupola.
Scope and Guidelines for Restoration
D. Develop restoration goals, an outline scope of restoration work and restoration guidelines.
Based on the Owner's Objectives and the existing condition of the Cupola, we will prepare
recommendations for its restoration and placement in a publicly accessible setting. We will
review these recommendations with the Owner before proceeding with schematic design.
Design and Construction Plans
E. Prepare two schematic designs for presentation to the Owner. We will work with the
Owner and prepare two design schemes for the Owner's consideration. We will meet with
the Owner to select a scheme on which to base final construction documents.
F. Prepare construction documents for the selected design. We may require additional services
from the following disciplines: structural engineer, mechanical /electrical engineer,
landscape architect, cost estimator. Whether any one or more of these consultants are
necessary will be determined as part of our recommendations (see D. above). A separate
proposal for services will be developed at that time and submitted to the Owner for
consideration.
G. Following completion of the construction documents, aid the Owner with contractor
bidding. Our specifications often contain requirements for bidder qualifications, especially
related to specialized aspects of restoration. We will review bidder responses and make
recommendations to the Owner.
F. Participate in the construction phase of the project.

Architectural Services
Design Carey & Co. provides complete design services. Based on careful
analysis of the client's desired program, on previous research and
investigations of the building, and an evaluation of code and
planning requirements, we prepare designs which balance these
multiple needs. We base our design on context, responding to the
surroundings.
Construction Drawings We provide complete construction document and specifications
and Specifications services. Our documents often contain both drawings and
photographs to describe existing conditions. Our specifications are
custom tailored to address the exact preservation problems
encountered on the structure.
Bid Phase Evaluation
The firm prepares construction specifications to encourage only
qualified bidders for historic preservation projects. During bidding
we will participate in a "walk through" of the structure with
Construction Phase prospective bidders and respond to questions.
During construction, Carey & Co. reviews all construction repair or
cleaning procedures to ensure that they are appropriate and do not
damage the historic fabric. The firm participates in all required
testing. We review shop drawings, submittals, and samples. In the
unlikely event that an unforeseen condition or deficiency arises, the
firm will assist the client in seeking an appropriate solution.
Historic Research and Conservation Services
Research Carey & Co. uses thorough research techniques necessary for a
historically correct analysis. The firm always commences a project by
gathering all available background information. We have a vast
library of resources on history, material conservation and restoration.
Involvement with numerous preservation organizations and
continuing education seminars has enabled us to remain up- todate
on all advances in the field.
Existing Condition The firm provides a complete analysis of the existing conditions of
Analysis historic structures. We review the conditions of all building materials
and systems. We perform code analyses looking for compliance with
the Uniform Building Code, the Uniform Code for Building
Conservation, the State Building Code (Title 24), and the State
Historical Building Code. We evaluate the components in terms of
both physical conditions and historic significance.

Materials Conservation Carey & Co. has a conservation and testing laboratory at our

3. PROJECT EXPERIENCE
Spreckels Temple of Music, Golden Gate Park, San Francisco
The Temple of Music was constructed is 1899 as part of the Music Concourse in Golden Gate
Park. It anchors the southwest end of the concourse and serves as the music pavilion in this
formally sculptured park area. The building was designed by the Reid Brothers and is
constructed of sandstone from Colusa County, California. It consists of a central bandshell
with two flanking colonnades, each with 16 Ionic columns. The central arch above the
bandshell bears decorative bas - relief figures by Robert Aitken. The dome is terra cotta, colored
and textured to match the sandstone.
As historic preservation architects for the City of San Francisco, Carey & Co.. was primarily
responsible for the design and construction documents for earthquake repairs. This included
extensive sandstone, terra cotta, and marble cleaning and restoration. The project also included
the review and assessment of proposed seismic upgrade schemes and building system and ADA
upgrades. Construction cost: $1.5 million.
A particularly challenging aspect of the project centered around seismic upgrade of the existing
structure. The original scheme involved complete dismantling of the colonnades so that each
column could be reinforced. After further study, the structural engineers designed a
strengthening scheme using center core drilling and reinforcing, a much less intrusive
approach. This resulted in a dramatic reduction in sandstone disassembly thereby protecting a
larger amount of original fabric while achieving the same level of structural effectiveness.
Lakeside Park Bandstand, Oakland
The Lakeside Park Bandstand was damaged in the 1989 Loma Prieta Earthquake. Carey & Co.
is the Architect for the complete restoration of the Bandstand. In addition to returning the
structure to its original state, the firm is designing new disabled access ramps to reach the
elevated Bandstand floor.
Dunsmuir House, Oakland
The Dunsmuir House, constructed in 1899, remained in the Dunsmuir family for only a short
period. It was sold in 1906 to I.W. Hellman, president of Wells Fargo Bank as his summer
house. In 1962, the property, with a smaller parcel of land was purchased by the City of
Oakland for use as a conference and meeting center.
Carey & Co. was retained by the Dunsmuir House and Gardens, Inc. to evaluate exterior
deterioration and to prepare repair and rehabilitation plans. The construction phase started in
late 1994 was completed in March 1995.
Three recent projects demonstrate Alexandra Sheets' experience in rehabilitation and
restoration.
Galileo High School, San Francisco
This historic high school facility will be undergoing selected rehabilitation funded by a bond

approved by San Francisco residents. Alexandra Sheets is the job captain for Carey & Co.'s
in olvement in this project. To date, she has been involved in an evaluation of existing
conditions and the design for renovating several exterior "bridges" that connect the classroom
wings of the school. Alexandra is responsible for design development of the preferred
renovation scheme and is currently preparing construction documents.
Jesse Unruh State Office Building, Sacramento
The State of California will be undertaking seismic rehabilitation of over twenty buildings
throughout the state. The Jesse Unruh State Office Building is a historic building, which
together with the State Library and Courts Building form a complex on axis with the State
Capitol. For this project, Alexandra Sheets has evaluated the interior of the building, noting
both its existing condition and identifying historically significant features, fixtures, finishes, and
spaces. She is currently completing a written report of her findings that will be incorporated
into a historic structure report.
Department of Public Health Building, San Francisco
Under the city's Earthquake Safety Program, a number of city -owned buildings have and will be
seismically upgraded. Alexandra Sheets is the job captain for this project that will introduce
new seismic bracing into a historic structure. Construction documents for the Department of
Public Health Building are currently being completed.
Our premiere restoration project involves not only the Department of Public Health Building,
but five other structures in the San Francisco Civic Center. We have included a project
description sheet following this section of the Proposal.

Carey & Co. will assign key project responsibilities to Alice Carey as Principal -in- Charge and
Alexandra Sheets as Project Architect. Ms. Carey founded her firm in 1983 and has worked on
a vast number of restoration projects as described in the previous section. She served as
principal for all of these projects.
Alexandra Sheets will be the Project Architect for the restoration of the John W. Lyndon
Cupola. Ms. Sheets is an accomplished architect with nearly ten years of experience. Most
recently, she was the job captain on the firm's work to prepare construction documents for the
seismic rehabilitation of the San Francisco Public Health Building, one of the historic structures
forming the San Francisco Civic Center, a National Historic Landmark District. She also is
completing work on the evaluation of the Jesse Unruh State Office Building in Sacramento. As

6. PROPOSED PROJECT SCHEDULE
I
We have estimated that the pre-design and design process will take four months. We built -in
factors such as reviews by the Advisory Committee and the Town of Los Gatos, but these
remain an unknown quantity. We propose that a definitive project schedule be developed
during contract negotiations once the specific reviews and approvals required for the project are
known.
