ADOPT RESOLUTION TO AMEND THE JOINT POWERS AGREEMENT
FOR THE ADMINISTRATION OF THE SANTA CLARA COUNTY
CONGESTION MANAGEMENT PROGRAM DATED DECEMBER 1, 1994

RECOMMENDATION:
Adopt a Resolution to amend the Joint Powers Agreement for the Administration of the Santa
Clara County Congestion Management Program dated December 1, 1994 (JPA).
BACKGROUND:
Since 1994, the Santa Clara Valley Transportation Attthority (VTA) Board of Directors has been
appointed according to the Joint Powers Agreement that governs the Santa Clara County
Congestion Management Program. In 2007, VTA retained the Hay Cn~oup, a management
consulting firm, to conduct an Organizational Review and Financial Assessment of VTA. One
component of the consultant report addressed the cun~ent VTA governance structure, including
possible alternative city groupings from which VTA Board Members are selected.
At their November 5, 2009 meeting, the VTA Board of Directors approved a reconfiguration of
the groupings of cities to include a new city group comprised of Sunnyvale, Santa Clara and
Milpitas, that would appoint two Board Members and one Alternate. On December 10, 2009, the
VTA Board approved a Resolution amending the Joint Powers Agreement for the Administration
of the Santa Clara County Congestion Management Program and directed VTA staff to fortivard
the amendment to each member agency and the County of Santa Clara for their consideration
and approval.

DISCUSSION:
The proposed new groupings approved by the VTA Board are as follows:
City Grouping

The proposed groupings do not affect the City of San Jose or the County of Santa Clara.
Specifically, there are no changes impacting the Town of Los Gatos or the West Valley
grouping.
All amendments to the JPA require approval of the VTA Board of Directors, the County Board
of Supervisors, and a majority of cities representing a majority of the population. Adoption of
the attached Resolution amending the Joint Powers Agreement far the Admhustration of the
Santa Clara County Congestion Management Program dated December 1, 1994 is a step in that
approval process. The City of Campbell approved the proposed amendments to the JPA earlier
this year.
CONCLUSION:
Staff recommends the Town Council adopt a resolution to amend the Joint Powers Agreement
for the Administration of the Santa Clara County Congestion Management Program dated
December 1, 1994 (JPA).

RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
TO AMEND THE JOINT POWERS AGREEMENT FOR THE ADMINISTRATION
OF THE SANTA CLARA COUNTY CONGESTION MANAGEMENT PROGRAM
DATED DECEMBER 1,1994 (JPA)
WHEREAS, the Santa Clara Valley Transportation Authority (VTA), the fifteen
cities in the County of Santa Clara, and the County of Santa Clara, entered into a Joint Powers
Agreement for the Administration of the Santa Clara County Congestion Management Program
(herein after "Agreement"); and
WHEREAS, Section 6 of the Agreement, pursuant to California Public Utilities
Section 100060, established the groupings of the cities within the County of Santa Clara, other
than the City of San Jose, for the appointment of members to the Santa Clara County Transit
District (now the Santa Clara Valley Transportation Authority) Board of Directors; and
WHEREAS, on November 5, 2009, the VTA Board of Directors approved the
reconfiguration of the groupings of the cities within the County of Santa Clara, other than the
City of San Jose, to include a new city group comprised of Sunnyvale, Santa Clara, and Milpitas,
that would appoint two Board members and one alternate; and
WHEREAS, to implement such reconfiguration, the Agreement must be
amended through the adoption of resolutions by VTA, the Santa Clara County Board of
Supervisors, and a majority of the Member Agency parties to the Agreement (other than Santa
Clara County) representing a maj ority of the population in Santa Clara County, pursuant to
Section 15 thereof.
NOW, THEREFORE, BE IT RESOLVED that the Town Council does hereby
approve the attached Amendment to the Joint Powers Agreement far Administration of Santa
Clara County Congestion Management Program, dated December 1, 1994 (JPA).

WHEREAS, National Public Works Week was instituted as a public education campaign
by the American Public Works Association in 1960 and calls attention to the importance of
public works in community life; and
WHEREAS, public works infrastructure, facilities, and services are of vital importance
to the health, safety, and well-being of the citizens of Los Gatos and are an integral part of our
everyday lives; and
WHEREAS, the quality and effectiveness of the public works system and its facilities, as
well as their planning, design, and construction, is vitally dependent upon the efforts and skill of
public works officials; and
WHEREAS, it is in the interest of the public for citizens and civic leaders to niderstand
the role that public infrastructure plays in protecting the environment, improving public safety,
improving economic vitality, and enhancing the quality of life of the community; and
WHEREAS, the efficiency of the qualified and dedicated public works professionals is
materially influenced by citizens' attitudes and understanding of the work performed tluoughout
the Town such as maintaining more than 20,000 trees, 100 miles of streets, and more than 100
acres of parks, open space, and trails; and
WHEREAS, 2010 is the 50°i Anniversary of National Public Works Week; and
WHEREAS, the Town Council of the Town of Los Gatos urges its citizens to join
communities throughout the state and the nation in activities designed to recognize the
substantial conriibutions that public works professionals make to the communities they serve.
NOW, THEREFORE, BE IT RESOLVED, I, Diane McNutt, by virnie of the authority
vested in me as Mayor of the Town of Los Gatos, do deem it appropriate and do hereby proclairn
May 16 - 22, 2010 as "National Public Works Week" within the Town of Los Gatos and call
upon all citizens, civic leaders, and civil organizations to acquaint themselves with the issues
involved in providing our public works and recognize the contributions which public works
professionals make every day to ensure our health, safety, comfort, and quality of life.
