ADOPT RESOLUTION AUTHORIZING THE TOWN MANAGER TO ENTER
INTO A LICENSE AGREEMENT WITH PG&E FOR THE INSTALLATION
OF SMART METER NETWORK EQUIPMENT ON TOWN STREET LIGHT
POLES.
RECOMMENDATION:
Adopt a Resolution authorizing the Town Manager to enter into a license agreement with PG&E
for the installation of Smart Meter Network equipment on Town street light poles.
BACKGROUND:
The PG&E Smart Meter program is a system of automated metering infrastructure and a
supporting communications network. The proposed system will collect customer energy use
data automatically and more frequently than the traditional manual meter readiligs.
As part of their Smart Meter Network, PG&E is working with other municipalities and agencies
to install automated meter reading equipment on existing public infrastructure. As such, PG&E
has submitted an application to the Town to install coimnunication equipment on four existing
Town-owned street light poles. The installation will provide a wireless network to remotely read
the meters for all PG&E customers within the Town.
DISCUSSION:
PG&E's request to the Town includes a proposal to enter into a street light license agreement.

While the specific terms of the agreement have yet to be negotiated, it is anticipated that the
license agreement would include the following provisions:
• The license agreement would be for a fixed period, with built-in options to extend the
terms of the agreement if mutually agreed upon.
• PG&E would be authorized to install and maintain Smart Meter equipment on four
designated Town-owned street lights.
• PG&E would be required to pay the Town a fixed amount for the street lights used for the
installation of their equipment.
• Prior to installing equipment on any additional Town-owned street lights, PG&E would
be required to submit a revised agreement for review and approval by the Town.
• PG&E shall provide the necessary insurance coverage and shall indermlify and hold
harmless the City against all claims and liability.
• PG&E shall obtain the necessary permits from the City and pay all required fees before
proceeding with the installation of the Smart Meter Equipment.
Additionally, either party would have the ability to terminate the agreement with 60 days
advance written notice.
CONCLUSION:
Staff recommends the Town Council adopt the attached Resolution authorizing the Town
Manager to enter into a license agreement with PG&E for the installation of Smart Meter
Network equipment on Town-owned street light poles.
ENVIRONMENTAL ASSESSMENT:
None.
FISCAL IMPACT:
Upon approval of the agreement, the Town would receive aone-time payment of approximately
$3,200, plus associated encroaclnnent permit fees.

RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO ENTER INTO A
LICENSE AGREEMENT WITH PG&E
FOR THE INSTALLATION OF SMART METER NETWORK EQUIPMENT
ON TOWN STREET LIGHT POLES
WHEREAS, the Town of Los Gatos desires to enter into a License
Agreement with PG&E for installation of Smart Meter Network equipment on Town street light
poles; and
WHEREAS, it is in the public interest for the agencies to work together as a
reliable, timely, and cost effective means of discussion.
NOW, THEREFORE, BE IT RESOLVED that the Town Council does hereby
authorize the Town Manager to enter into a License Agreement with PG&E for installation of
Smart Meter Network equipment on Town street light poles.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos held on the 15t~' day of March, 2010, by the following vote:
