RESOLUTION OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER TO RATIFY THE AGREEMENT
WITH ALL CITY MANAGEMENT SERVICES, INC.,
TO PROVIDE SCHOOL CROSSING GUARD SERVICES FOR THE TOWN
RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California, that the Town ratify the execution of the agreement
(attached hereto) with All City Management Services, Inc., for school crossing guard
services, that the Town Manager has authorized, and is hereby directed, to execute said
agreement in the name and on behalf of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 5` day of September, 2000 by the
following vote:

Subject: Agreement between Town of Los Gatos and All City Management Services, Inc.
for Crossing Guard Services
Dear Mr. Farwell:
By this Letter of Agreement, the Town of Los Gatos and Baron Farwell(General Manager for All City
Management Services, Inc.) agree that All City Management Services, Inc. shall perform the services
described below in accordance with the terms contained herein.
The scope of the work is as follows:
See #1 of the attached agreement.
The following Terms and Conditions shall apply:
1. Payment shall be net thirty (30) days.
2. Compensation shall not exceed Thirty-three thousand two hundred ten dollars and no cents
( $33,210.00), and payment shall be based upon Town approval of each task.
3. You will be the project manager for All City Management Services, Inc., I will be the project
manager for the Town.
4. All City Management Services, Inc.'s services shall be initiated after execution of this Letter
of Agreement and issuance of a Town purchase order. It is understood and agreed that Two
Thousand Seven Hundred (2,700) hours of service, at $12.30 per hour, shall be provided for
the 2000/2001. school year at three (3) hours per day, for the one hundred eighty (180) days
of the school year. The crossing guard service shall be for the five (5) schools identified by the
Town which have potentially hazardous locations where students cross on a daily basis while
traveling to and from school.

5. The terms and conditions contained in sections 1 through 22, including section 6 as amended
herein, of Agreement number 99.139 between the Town of Los Gatos and All City
Management, Inc. are incorporated herein by this reference. A copy of Agreement number
99.139 is attached hereto and the aforementioned by this reference, incorporated herein.
Please have this Letter of Agreement executed in the space provided below by a person authorized to
bind All City Management Services, Inc., and then return it to me. I will circulate the Letter of
Agreement for signature by the Town. I will provide you with a copy of the fully executed Letter of
Agreement. Baron Farwell's signature, along with that of the Town Manager, shall evidence the
parties' acceptance of the terms and conditions of this Letter of Agreement,

agreement with the Los Gatos -Monte Sereno Police Department. In exchange for 2,700
hours of service during 180 days of school, the school district will pay $17,136, which is
equal to 51.6% of the total cost.
