RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS
APPROVING AGREEMENT FOR THE PURCHASE OF REAL PROPERTY
FROM THE SANTA CLARA COUNTY TRANSIT DISTRICT AND APPRO-
PRSATING FUNDS THEREFOR.
WHEREAS, the Santa Clara County Transit District, through
the County Department of Public Works, has presented an Agreement
for .sale by the County Transit District and purchase by the Town
of a parcel of surplus District property located at the southeast
corner of the intersection of Nicholson Avenue and Wilder Avenue,
in the Town of Los Gatos, more particularly des c-r ibed in Exhibit "A"
to said agreement; and
WHEREAS, the proposed purchase price and estimated closing
costs for the proposed purchase total $23,200;
RESOLVED that the Agreement is approved and the Mayor and
the Town Clerk are directed to sign it on behalf of the Town; and
FURTHER RESOLVED that $23,200 is hereby appropriated from
the General Fund to pay the costs of the transaction.

AGREEP;ENT FOR SALE OF REAL PROPERTY
The Board of Supervisors of the Santa Clara County Transit
District, hereinafter referred to as "District," and the Toion of
Los .Gatos, hereinafter referred to as "Grantee," hereby contract
and agree as follows:
1. Ap,reement to Se11
_ District agrees to sell and Grantee agrees to purchase
all that certain real property, together with all improvements and
permanent fixtures thereon, described in Exhibit "A" attached
hereto and made a part hereof by this reference.
2. Purchase Price
Grantee agrees to pay District, as and for the purchase
priceof said property, improvements and fixtures, the sum of
TWENTY-THREE THOUSAND DOLLARS ($23,000.00), which said sum shall
be deposited by the Grantee into Escrow Account No. 157652,
Valley Title Company, 300 South First Street, San Jose., CA 95113,
within silty (60) days after execution of this agreement.
3. Grant Deed
District afire es to execute a grant deed and to convey
fee title to said property free and .clear of all liens and
encumbrances.
4. Expenses
Grantee shall pay any and all expenses, including all
costs of escr osa, revenue etamos, if required and autho rued, and
title insurance policy expenses.
5. Property Condition
District does not guarantee the condition of the property
nor does it assume any responsibility for the conformance to codes
or permit regulations of the city or county in which tt.e property
is located. It shall be Grantee's responsibility todetermine all

buildings, planning and zoning regulations relative to the
property. The property ~vi11 be-sold on an "as is" basis.
