Minutes of the Town Council - Study Session
Tuesday, June 17, 2025
The Town Council of the Town of Los Gatos conducted a Special Meeting in person and via
teleconference to hold a Study Session.
MEETING CALLED TO ORDER AT 5:15 P.M.
ROLL CALL Present: Mayor Matthew Hudes, Vice Mayor Rob Moore, Council Member Mary Badame,
Council Member Rob Rennie, and Council Member Maria Ristow (participated remotely).
Absent: None.
VERBAL COMMUNICATIONS (ON ITEMS ON THE AGENDA)
Jeffrey Blum
- Commented on concerns with the proposed Code of Conduct Policy for boards and
commissions, regarding a commissioner’s ability to communicate and gather information.
Elenor Yick
- Commented on concerns with the proposed Code of Conduct Policy for boards and
commissions regarding notification procedures for complaints and the potential impact of
communication restrictions.
Gus Who
- Commented on concerns regarding censorship, legal implications, and the impact of
communication restrictions.
OTHER BUSINESS
1. Review and Provide Feedback on Revisions to the Town Council Code of Conduct Policy
2-04, and the Proposed Board, Committee, and Commission Code of Conduct Policy; and
Consideration of a Temporary Suspension of Restrictions Related to Commissioners
Serving on Non-Profit Boards Receiving Town Funding.
Chris Constantin, Town Manager, and Wendy Wood, Town Clerk, presented the staff report and
the proposed Town Council Code of Conduct Policy.
The Town Council discussed the proposed Town Council Code of Conduct Policy, asked
questions, and provided general feedback.

After a discussion of the Town Council Code of Conduct Policy, there was a consensus of the
Town Council to incorporate staff's recommendations and remove provisions related to a
Council Member serving on a board of directors for a non-profit organization, as well as Council
Member communications at community events.
MOTION: Motion by Council Member Ristow to temporarily suspend the restriction on
Commissioners serving on non-profit boards that receive Town funding. Seconded
by Vice Mayor Moore.
VOTE: Motion passed unanimously by a roll call vote.
The Town Council discussed the proposed Board and Commission Code of Conduct Policy,
asked questions, and provided feedback.
Due to time constraints, the Mayor requested the scheduling of another study session to
continue the discussion on the Board and Commission Code of Conduct Policy.

The meeting adjourned at 6:57 p.m.
