RECOMMENDATION:
Accept notice indicating that Town/Redevelopment Agency Conflict of Interest Code does not
require biennial amendment.
DISCUSSION:
The Political Reform Act requires that every local government agency maintain a conflict of
interest code. The code identifies employees, consultants and members of boards and
commissions that make or participate in the making of governmental decisions. The code
requires that persons holding those positions must file disclosures of all investments, business
positions, interests in real property, and sources of income that may foreseeably be affected
materially by decisions made by those holding the designated positions. The code also indicates
the scope of the required disclosure.
The Act further requires that the agency conduct a biennial review of its conflict of interest in
even numbered years to determine whether any amendments are necessary. Amendments are
triggered by changes in employment positions, including additions, deletions or title changes,
changes in boards or commissions, or changes in disclosure requirements for any designated
positions. A notice regarding whether any changes are necessary must be filed with the Town
Council by no later than October 1, 2008.

NOTICE REGARDING CONFLICT OF INTEREST CODE
SEPTEMBER 2, 2008
The last review of the Town/Agency Conflict of Interest Code was completed in 2005 when the
Town Council/Agency Board adopted Resolution 2005-005, which re -adopted the applicable
provisions of the Conflict Code after completing an amendment of the Town Code to ensure that
all future amendments of the Conflict Code would occur by resolution rather than by the more
cumbersome and unnecessary ordinance process required to amend the Town Code, where the
Conflict Code previously resided.
Staff reviewed Resolution 2005-005 and determined that no subsequent changes in employment
positions or boards or commissions have occurred requiring amendment of the Conflict Code.
Anticipated future changes concerning the elected Town Clerk and Treasurer positions will be
addressed in the next biennial review.
CONCLUSION:
Acceptance of the notice provided by this report completes the biennial review of the
Town/Agency Conflict of Interest Code as required by the Political Reform Act.

2008 Conflict -of -Interest Code
Biennial Notice for City Attorneys and City Clerks
The Political Reform Act requires every local
government agency to review its conflict -of -
interest code biennially. No later than July 1 of
each even -numbered year, code reviewing bodies
must notify each agency within their jurisdiction
to review its conflict -of -interest code. No later
than October 1 of each even -numbered year, each
agency must submit to the code reviewing body a
notice indicating whether or not an amendment is
necessary.
The City Council is the code reviewing body
for city agencies. Therefore, no later than July 1,
2008, the City Council must notify any city
agency not covered under the city's conflict -of -
interest code to review its code and submit a
biennial notice to the City Council.
The Biennial Notice for the city's conflict -of -
interest code and any separate city agency is due
to the City Council by October 1, 2008. We have
prepared a 2008 Local Biennial Notice form that
you may send to the agencies. Please remember
to put your return address at the bottom of the
form. These notices are not sent to the FPPC.
If amendments to an agency's code are
necessary, the code must be forwarded to the City
Council for approval within 90 days. For
example, if an agency files its notice on October
1, 2008, indicating that an amendment is
necessary, the amendment is due to the City
Council by December 30, 2008. An agency's
amended code is not effective until it has been
approved by the City Council.

TOWN CONFUCT OF INTER-
EST CODE (DMSION 4 OF
ARTICLE III OF CHAPTER 2) TO
ALLOW FUTURE REVISIONS
OF THE APPENDICES BY RES-
OLUTION
WHEREAS, the Political
Reform Act (Government
Code section 81000, et seq.)
requires local agencies to
adopt and maintain a conflict
of interest code for the pur-
pose of designating positions
that are required to file a
Statements of Economic
Interests, disclosing financial
interests they may have with-
in the affected jurisdiction;
WHEREAS, the Town of Los
Gatos adopted a Conflict of
Interest Code at Division 4 of
Article II of Chapter 2 of the
Los Gatos Town Code, incor-
porating by reference the
standardized code adopted
by the State Fair Political
Practices Commission at 2
California Code of
Regulations section 18730,
including the appendices
required therein;
WHEREAS, the Political
Reform Act further requires
local agencies to conduct a
biennial review and update
their conflict of interest
codes, including the appen-
dices in which public officials
and employees are designat-
ed and disclosure categories
are set forth;
WHEREAS the biennial
update process would be bet-
ter facilitated with the
detailed appendices set forth
by resolution rather than by
ordinance; and
WHEREAS, in order to
ensure the continuation of
the Town Conflict of Interest
Code, concurrent with the
introduction of this
Ordinance, the Town Council
shall adopt a resolution with
the detailed appendices set
forth therein.
THE TOWN COUNCIL OF THE
TOWN OF LOS GATOS DOES
ORDAIN AS FOLLOWS:
SECTION I
Sections 2.30.610 and
2.30.615 of the Los Gatos
Town Code are repealed in
their entirety.
SECTION II
Section 2.30.610 is added to
the Los Gatos Town Code to
read as follows:
Section 2.30.610.
Positions and disclosure cate-
gories designated by resolu-
tion.
The appendices referred to
in 2 California Code of
Regulations section 19730
and any amendments to it
duly adopted by the Fair
Political Practices
Commission, shall be adopt-
ed and maintained by resolu-
tion duly adopted form time
to time by the Town Council.
SECTION 11
Section 2.30.620 is renum-
bered to be 2.30.615 and sec-
tion number 2.30.620 is
reserved.
SECTION IV
If any of the provisions of
this Ordinance or the applica-
tion thereof to any person or
property is held invalid, such
invalidity shall not affect the
other provisions of this
Ordinance, which can be
given effect without the
invalid provision of applica-
tion, and to this end the pro-
visions of this Ordinance are
declared severable.
SECTION V
Any judicial review of this
Ordinance shall be by writ of
mandate under section 1085
of the Code of Civil Procedure.
Any action or proceedings
seeking to attack, review, set
aside, void or annul this
Ordinance shall be com-
menced within 90 days after
adoption of this Ordinance.
SECTION VI
This ordinance was intro-
duced at a regular meeting of
the Town Council of the Town
of Los Gatos on February 7,
2005 and adopted by the fol-
lowing vote as an ordinance
of the Town of Los Gatos at a
regular meeting of the Town
Council of the Town of Los
Gatos on February 22, 2005.
This ordinance takes effect 30
days after it is adopted.

income with to business in the Town of Los Gatos, plan to do business in the Town of Los Gatos,
or have done business in the Town of Los Gatos within the past two (2) years. In addition to other
activities, a business entity is doing business within the Town of Los Gatos if it owns real property
within the Town of Los Gatos. When a designated employee is required to disclose interests in real
property, he or she need only disclose real property which is located in whole or in part within or not
more than two (2) miles of any land owned or used by the Town of Los Gatos.

OF THE TOWN OF LOS GATOS
RE -ADOPTING THE APPENDICES OF THE TOWN'S
CONFLICT OF INTEREST CODE PURSUANT TO DIVISION 4
OF ARTICLE III OF CHAPTER 2 OF THE LOS GATOS TOWN CODE
WHEREAS:
A. The Political Reform Act, Government Code section 81000, et seq., requires State
and local government agencies to adopt and promulgate conflict of interest codes. The Fair Political
Practices Commission has adopted a regulation, 2 California Code of Regulations section 18730,
which contains the terms of a standard conflict of interest code, which can be incorporated by
reference and which may be amended by the Fair Political Practices Commission to confirm to
amendments in the Political Reform Act after public notice and hearings. The terms of 2 California
Code of Regulations section 18730 have been adopted by reference by the Town Council in Division
4 of Article III of Chapter 2 of the Los Gatos Town Code.
B. The Town Council/Redevelopment Agency has introduced an ordinance intended to
better facilitate the biennial process of updating the Town's Conflict of Interest Code by authorizing
the adoption and periodic updates of the detailed appendices required by 2 California Code of
Regulations section 18730 containing the designation of positions and disclosure categories.
C. This resolution is intended to update the Town/Redevelopment Agency's Conflict of
Interest Code by adopting the detailed appendices containing the designation of positions and
disclosure categories.
RESOLVED:

income with to business in the Town of Los Gatos, plan to do business in the Town of Los Gatos,
or have done business in the Town of Los Gatos within the past two (2) years. In addition to other
activities, a business entity is doing business within the Town of Los Gatos if it owns real property
within the Town of Los Gatos. When a designated employee is required to disclose interests in real
property, he or she need only disclose real property which is located in whole or in part within or not
more than two (2) miles of any land owned or used by the Town of Los Gatos.
General Provisions
When a designated employee is required to disclose investments and
sources of income, he or she need only disclose investments in
business entities and sources of income which do business in the
jurisdiction, plan to do business in the jurisdiction or have done
business in the jurisdiction within the past two (2) years. In addition
to other activities, a business entity is doing business within the
jurisdiction if it owns real property within the jurisdiction. When a

ORDINANCE OF THE TOWN OF LOS GATOS AMENDING
TOWN CONFLICT OF INTEREST CODE (DIVISION 4 OF ARTICLE III
OF CHAPTER 2) TO ALLOW FUTURE REVISIONS OF THE
APPENDICES BY RESOLUTION
WHEREAS, the Political Reform Act (Government Code section 81000, et seq.) requires local
agencies to adopt and maintain a conflict of interest code for the purpose of designating positions that
are required to file a Statements of Economic Interests, disclosing financial interests they may have
within the affected jurisdiction;
WHEREAS, the Town of Los Gatos adopted a Conflict of Interest Code at Division 4 of Article
II of Chapter 2 of the Los Gatos Town Code, incorporating by reference the standardized code adopted
by the State Fair Political Practices Commission at 2 California Code of Regulations section 18730,
including the appendices required therein;
WHEREAS, the Political Reform Act further requires local agencies to conduct a biennial
review and update their conflict of interest codes, including the appendices in which public officials and
employees are designated and disclosure categories are set forth;
WHEREAS the biennial update process would be better facilitated with the detailed appendices
set forth by resolution rather than by ordinance; and
WHEREAS, in order to ensure the continuation of the Town Conflict of Interest Code,
concurrent with the introduction of this Ordinance, the Town Council shall adopt a resolution with the
detailed appendices set forth therein.

THE TOWN COUNCIL OF THE TOWN OF LOS GATOS DOES ORDAIN AS
FOLLOWS:
SECTION I
Sections 2.30.610 and 2.30.615 of the Los Gatos Town Code are repealed in their entirety.
SECTION II
Section 2.30.610 is added to the Los Gatos Town Code to read as follows:
Section 2.30.610. Positions and disclosure categories designated by resolution.
The appendices referred to in 2 California Code of Regulations section 19730 and any
amendments to it duly adopted by the Fair Political Practices Commission, shall be
adopted and maintained by resolution duly adopted form time to time by the Town
Council.
SECTION II
Section 2.30.620 is renumbered to be 2.30.615 and section number 2.30.620 is reserved.
SECTION IV
If any of the provisions of this Ordinance or the application thereof to any person or property is
held invalid, such invalidity shall not affect the other provisions of this Ordinance, which can be given
effect without the invalid provision of application, and to this end the provisions of this Ordinance are
declared severable.
SECTION V
Any judicial review of this Ordinance shall be by writ ofmandate under section 1085 of the Code
of Civil Procedure. Any action or proceedings seeking to attack, review, set aside, void or annul this
Ordinance shall be commenced within 90 days after adoption of this Ordinance.
SECTION VI
This ordinance was introduced at a regular meeting of the Town Council of the Town of Los

WHEREAS:
A. The Political Reform Act, Government Code section 81000, et seq., requires State
and local government agencies to adopt and promulgate conflict of interest codes. The Fair Political
Practices Commission has adopted a regulation, 2 California Code of Regulations section 18730,
which contains the terms of a standard conflict of interest code, which can be incorporated by
reference and which may be amended by the Fair Political Practices Commission to confine to
amendments in the Political Reform Act after public notice and hearings. The terms of 2 California
Code of Regulations section 18730 have been adopted by reference by the Town Council in Division
4 of Article III of Chapter 2 of the Los Gatos Town Code.
B. The Town Council/Redevelopment Agency has introduced an ordinance intended to
better facilitate the biennial process of updating the Town's Conflict of Interest Code by authorizing
the adoption and periodic updates of the detailed appendices required by 2 California Code of
Regulations section 18730 containing the designation of positions and disclosure categories.
C. This resolution is intended to update the Town/Redevelopment Agency's Conflict of
Interest Code by adopting the detailed appendices containing the designation of positions and
disclosure categories.
RESOLVED:
1. The following shall constitute Appendix "A" to the Town of Los Gatos Conflict of

2. The following shall constitute Appendix "B" to the Town of Los Gatos Conflict of
Interest Code, by listing of the disclosure categories that are required pursuant to the Political
Reform Act of 1974, as amended. When a designated employee is required to disclose investments

and sources of income, he or she need only disclose investments in business entities and sources of
income with to business in the Town of Los Gatos, plan to do business in the Town of Los Gatos,
or have done business in the Town of Los Gatos within the past two (2) years. In addition to other
activities, a business entity is doing business within the Town of Los Gatos if it owns real property
within the Town of Los Gatos. When a designated employee is required to disclose interests in real
property, he or she need only disclose real property which is located in whole or in part within or not
more than two (2) miles of any land owned or used by the Town of Los Gatos.
General Provisions
When a designated employee is required to disclose investments and
sources of income, he or she need only disclose investments in
business entities and sources of income which do business in the
jurisdiction, plan to do business in the jur isdiction o r h ave d one
business in the jurisdiction within the past two (2) years. In addition
to other activities, a business entity is doing business within the
jurisdiction if it owns real property within the jurisdiction. When a
designated employee is required to disclose interests in real property,
he or she need only disclose real property which is located in whole
or in part within or not more than two (2) miles of any land owned or
used by the local government agency.
Designated employees shall disclose their financial interest pursuant
to the appropriate disclosure category as indicated in section
2.30.610.

3. Any change provided in the appendices of the Town of Los Gatos Conflict of Interest
Code shall not affect or excuse any offense or act committed or done or omission or any penalty or
forfeiture incurred or accruing under any other Conflict of Interest Code, nor shall it affect any
prosecution, suit, or proceeding pending or any judgment rendered in connection with any other
conflict of interest code.
