A RESOLUTION APPROVING TOWN ATTORNEY
EMPLOYMENT AGREEMENT
BETWEEN TOWN OF LOS GATOS
AND MARY JO LEVINGER
BE IT RESOLVED, and it is hereby resolved by the Town Council of the
Town of Los Gatos, County of Santa Clara, State of California, that the
Town of Los Gatos enter into that Town Attorney Employment Agreement with
MARY JO LEVINGER, a copy of which is attached hereto; and
BE IT FURTHER RESOLVED that the Mayor is authorized and is hereby
directed to execute said agreement in the name and in behalf of the Town
of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council
of the Town of Los Gatos, California, held on the _ 21 day of
November 1983, by the following vote:

THIS AGREII= is entered into this `- ' day of � �. �.t 1983,
by and between the TOWN OF LOS CATOS, hereinafter referred to as "Town," and MARY JO
LEVINGER, hereinafter referred to as "Levinger"

1. Town desires to employ Levinger as Town Attorney to fulfill the duties as
prescribed by Section 2 -6 of the ToGn Code of Los Gatos.
2. Levinger desires to render legal services to the Town as its Town Attorney.
In consideration of the foregoing recitals, and their mutual prcmises hereunder,
the parties agree as follows:
A. Appointment
Town hereby appoints Levinger as Town Attorney as of October 17, 1983, and
Levinger accepts said appointment, subject to the provisions of the Town Code and
the terms and conditions hereinafter set forth.
The term of this Agreement shall extend indefinitely until terminated as
hereinafter provided.
C. Compensation
In exchange for faithful performance of her duties as Town Attorney, Levinger
shall receive the following compensation:
1. Sam
The starting base salary shall be $50,000. The Tam Council shall review
said salary six (6) months after the appointment to evaluate her performance to
qualify for a five percent (5%) bonus opportunity.
2. Performance Incentive Ccmpensation
Starting at the time of adoption of the first annual budget after execu-
tion of this Agreement, Town shall pay Levinger, in addition to whatever increase
in base salary is awarded, additional compensation for good performance, the exact
sum to be negotiated annually between Levinger and the Town Council based on evalu-
ation of actual performance.
3. Automobile Allowance
To-van shall pay Levinger an automobile allowance of $200 per month.
4. Job - Related Expenses
Town shall reimburse Levinger for membership in and attendance at meetings
of professional groups such as the State Bar of California, the Santa Clara County
Bar Association, California Warren Lawyers, the League of California Cities (Attorney's
Division), and the Bay Area City Attorney Association, as well as local civic and /or
service organizations, at Levinger's discretion.
5. Other Benefits
Any benefits not specifically mentioned in this Agreement shall be pro-
vided in accordance with standards applicable to all Town employees in accordance
with the Toun Management and Compensation Plan.
D. Termination
1. Method
This Agreement may be terminated in the following manner:
a. By Levinger giving Town thirty (30) days' notice.
b. By Town removing Levinger from office by majority vote of the Town
Council.
c. At any time by any other method agreed upon in writing.
2. Severance Pay
In event of termination pursuant to Paragraph D.1.b., Levinger shall be

entitled to severance pay in an amount equal to her then base salary for a period of
thirty (30) days, plus compensation for accrued vacation up to 320 hours (40 days),
but shall not be entitled to compensation for unused medical benefits, or any other
severance benefits not expressly mentioned herein.
E. General Provisions
1. Amendment
The Town Council may from time to time amend this Agreement or fix other
terms and conditions of Levinger's employment, either. by written addendum attached
hereto or by resolution, provided that any such amendments shall not be inconsistent
with the provisions of this Agreement, the Town Code, or any other law.
2. Applicatim of General Rules
As to any matter not expressly covered in this Agreement, Levinger shall
be subject to the same rules and policies as airy other employee of the Town.
3. Integration
The text hereof shall constitute the entire agreement between the parties,
except for amendments as provided above.
4. Successors
This Agreement shall be binding upon and inure to the benefits of the
heirs and executors of Levinger
