Earle For The Management Of The 1983 Community Needs AssessmentRESOLUTION NO. 1983 -74 A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS AUTHORIZING,- THE TOWN MANAGER TO EXECUTE A CONTRACT WITH MR.. TED W. EARLE FOR THE MANAGEMENT OF THE 1983 COMn ^UNITY NEEDS ASSESSMENT BE IT THEREFORE RESOLVED that the Town Council of the Town of Los Gatos does hereby authorize the Town Manager to execute a contract with Mr. Ted W. Earle, not to exceed $4,000.00 for the management of the 1983 Community Needs Assessment. Earle (Name of Contractor) April 18, 1983 (Date) BY THIS AGREEMENT, made and entered into on the 18th day of April 19 83 , between the Town of Los Gatos (hereinafter referred to as "Town" and Ted W. Earle (hereinafter referred to as "Contractor "), and in consideration of their mutual covenants, the parties hereto agree as follows: A. TERM Performance under this agreement shall commence on April 18. 1983 . and end on September 5, 1983 unless the agreement is extended in writing. B. SERVICES Contractor agrees to provide the following services for the Town in accordance with the following time schedule: 1. Management of the 1983 Needs Assessment which includes the following segments: Segment I: Contractor shall gather data by the interview method, random sample method or a combination of both and begin preliminary report writing by assessment category. Contractor shall make appointments with civic leaders and professionals in the field of areas covered in the Needs Assessment. Contractor shall interview individuals assigned by the Director of Community Programs and may hire individuals to interview all others. - z - Segment II: Contractor shall utilize other available resources in implementing the Needs Assessment such as by direct observation; by attending pertinent commission meetings, board meetings and special activities. Con- tractor shall elicit input from such organizations as the Senior Coordinating Council, the Service Providers Group, and the Chamber of Commerce. Segment III: Contractor shall develop a quesionnaire to be utilized in a random sampling. Contractor shall utilize the 1976 Needs Assessment questionnaire in the best way possible to compare results between the 1976 Needs Assessment and the one currently undertaken. Con- tractor shall oversee San Jose State or other professional resources in the drafting of a new questionnaire. Segment IV: Contractor shall study pertinent literature to be included in the Needs Assessment. Document analysis shall include written materials such as the 1976 Needs Assessment, the 1980 Census Data, any pertinent program brochures, and other resource material as assigned by the Director of Community Programs. Segment V: Contractor shall write a report based on all data gathered. The report shall contain direct observa- tions and shall have a priority list of community needs. The report shall identify current community needs and compare the new list of priority needs to the 1976 Needs Assessment. The report shall state which needs have and have not been met and what new needs have emerged since 1976. This report shall be known as the 1983 Los Gatos Needs Assessment. - 3 - 2. The areas to be completed and the established time schedule is as follows: Area to Complete Completion Date Area A. Civic Improvement C. PAYMENT In exchange for the foregoing services, the Town agrees to pay Contractor the sum of Ten Dollars (10.00) per hour, not to exceed a total of Four Thousand Dollars ($4,000.00). In order for Contractor to receive pavment by the tenth of the month, Contractor must submit invoice to Director of Community Programs in accordance with the Town's warrant processing schedule. The Town shall retain 200 of all billings pending completion of project to satisfaction of Town. D. FUNDING The Town's sole source of funds for this contract are Housing and Community Development Block Grant's Eighth Year allocation. E. TERMINATION Either party may terminate this agreement on thirty (30) days' written notice. Monies then owing based on work satisfactorily performed shall be paid to Contractor. Draft Report to CSDC August 18, 1983 Area E. Final report to Town Council September 5, 1983 C. No changes or variations of anv kind are authorized without the written consent of the Town Manager. 3. Independent Contractor Contractor is not an employee of the Town, but an independent contractor. 4. Disputes In any dispute over any aspect of this agreement, the prevailing party shall be entitled to reasonable attorney's fees, as well as all reasonable costs (hot limited to those allowed by statute). - 5 - IN WITNESS WHEREOF, Town and Contractor have executed this Agreement on the day and year first above written.
