A RESOLUTION APPROVING A MEMORANDUM OF
UNDERSTANDING BETWEEN THE TOWN OF LOS
GATOS AND THE TOWN EMPLOYEES ASSOCIATION
RESOLVED, that the Memorandum of Understanding signed by the
Town representatives and the designated representatives of the
Town Employees Association (a copy of which is attached hereto)
is hereby approved.
PASSED AND ADOPTED by the Town Council of the Town of Los
Gatos, California, at a --regular_ meeting held this 15th
day of June , 1981, by the following vote:

This Agreement, signed on 15th June, 1981, is entered into as of
July 1, 1981, between the TOWN OF LOS GATOS, hereinafter referred to as "TOWN ",
and the TOWN EMPLOYEES ASSOCIATION, hereinafter referred to as "TEA ".
Pursuant to Town Resolution No. 1974 -41 Establishing the Procedure for
Recognition of Employee Organizations and Conferring with Said Organizations,
and Section 3500 et. seq. of the Government Code, the duly authorized repre-
sentatives of the TOWN and TEA, having met and conferred in good faith concerning
the issues of wages, hours, and terms and conditions of employment, as herein
set forth, declare their agreement to the provisions of this Memorandum of
Understanding.

ARTICLE I -- TERM
The term of this agreement shall be twelve (12) months, beginning
July 1, 1981 and ending June 30, 1982.
ARTICLE II -- RECOGNITION
TEA is recognized as the majority representative of Town employees in
the miscellaneous bargaining unit consisting of all permanent full -time and
permanent part -time employees serving in the classifications listed in
Appendix A, attached hereto and incorporated herein by reference.
ARTICLE III---- DEFINITION
The following definitions apply to terms used in this agreement:
A. "Personnel Rules" shall mean those regulations entitled "Town
of Los Gatos Personnel Rules and Regulations," enacted as
Resolution No. 1965 -191 and as thereafter and hereafter
amended.
B. "Salaries" and /or "Wages" shall mean the gross monthly base
pay prior to any payroll deductions.
ARTICLE IV -- SALARIES AND WAGES
Effective July 1, 1981, all monthly salary ranges in effect for TEA
represented employees as of June 30, 1981, shall be increased by nine
percent (9.06).
ARTICLE V -- DENTAL INSURANCE
Effective July 1, 1981, the Town shall contribute $20.00 per month
per employee to the Town Dental Plan.
ARTICLE VI -- OVERTIME
Effective July 1, 1981, all employees represented by TEA shall be
eligible for compensation for overtime work in the form of CTO (compensa-
tory time off) or monetary compensation in an amount equivalent to one and
one -half (1.5) times the amount of overtime worked, said CTO or monetary
compensation to be designated by and at the direction of the department
manager and Personnel Officer.
ARTICLE VII -- UNIFORM ALL014ANCE
The Town shall provide a uniform allowance to Park Rangers up to
$175.00 /year /employee. The allowance shall be made available to the
employees on a reimbursement basis for uniform expenses approved by the
Superintendent of Parks and Forestry.

ARTICLE VIII -- LUMP SUM SICK LEAVE CASH -OUT
On November 30, 1981, each TEA represented employee may, at his /her
sole discretion, cash -out his /her accumulated sick -leave balance subject
to all the following conditions:
A. After the cash -out transaction, the employee must retain a
minimum sick leave balance of two hundred (200) hours or
twenty -five (25) days;
B. No more than four hundred eighty (480) hours or sixty (60)
days may be cashed out.
C. Actual cash -out will be based on a percentage of total value
of the hours /days to be cashed -out so that employees who have
been employed by the Town for five (5) years as of November 30,
1981, shall receive a thirty percent (30%) cash -out; an
additional one percent (1.0°6) shall be added to the base thirty
percent (30%) for each additional year of employment with the
Town after five (5) years to a maximum percentage of fifty per-
cent (50%). Individual payments to employees shall be made on
December 10, 1981.
ARTICLE IX ----SICK LEAVE CASH -OUT ON RETIREMENT /RESIGNATION
Effective December 1, 1981, the Town sick leave cash -out program on
retirement /resignation for TEA represented employees is eliminated.
ARTICLE X -- ANNUAL SICK LEAVE CASH -OUT PROGRAM
Effective December 1, 1981, all TEA represented employees shall be
eligible for an annual sick leave cash -out program. All cash -outs under
this program shall be at employee option subject to all of the following
conditions:
A. All calculations to be made on a twelve (12) month year basis
December 1 to November 30;
B. An employee must have a minimum sick leave accrual of one hundred
twenty (120) hours or fifteen (15) days on November 30;
C. The actual cash -out available shall be based on the following
sick leave use schedule:

9 to 16 hrs Up to 6 days at 50% value;
D. Employee use of sick leave for personal leave shall not be
charged against sick leave use totals for purpose of determining
hours used from December 1 to November 30;
E. First available cash -out will be November 30, 1982.
ARTICLE XI -- CLASSIFICATION STUDY
TEA understands that the Town will design and conduct a classification
study for TEA represented classifications. The Town will review the study
design with TEA, and TEA will participate in selection of the consultant to
conduct the study.
ARTICLE XII -- OTHER ITEMS
All other items related to salaries, wages, benefits, hours, and work-
ing conditions provided for in the Personnel Rules on June 30, 1981, shall
remain in effect for the term of this Memorandum of Understanding.
ARTICLE XIII -- RENEWAL
TEA shall submit written requests to the Town on items within the
scope of representation for the period commencing July 1, 1982, no earlier
than February 1, 1982, and no later than March 1, 1982. The Town and TEA
shall initiate negotiations concerning TEA requests no later than April 15,
1982.
