A RESOLUTION APPROVING THE AGREEMENT
TO PROVIDE INFORMATION AND REFERRAL
SERVICES FOR FY 1980 -81.
BE IT RESOLVED, and it is hereby resolved by the Town Council of the
Town of Los Gatos, County of Santa Clara, State of California, that the
Mayor is authorized to execute the attached Agreement to Provide Informa-
tion and Referral Services (I &R).

AGREEMENT TO PROVIDE INFORMATION AND REFERRAL SERVICES
This Agreement is made this ?7 day of May, 1981, between
the Town of Los Gatos, a municipal corporation ( "Town ") and Santa
Clara County Information and Referral Services, Inc., a nonprofit
corporation ( "I &R ").
RECITALS:
1. The Town has senior citizens and other persons who need
advice on where to obtain important human services offered by pub-
lic and private groups in Santa Clara County.
2. I &R has experience in providing such advice, and is pre-
pared to provide specific service to the residents of the Town in
exchange for appropriate compensation.
AGREEMENT:
1. Based on the foregoing recitals and their mutual promises
herein, the parties agree as follows:
A. The Services.
Commencing on July 1, 1980, and extending through June 30,
1981, I &R shall perform the following services for the Town:
1. Provide telephone assistance to Los Gatos residents who
call the I,:R office in Campbell. To make such service effective,
the I &R shall publicize its services and phone number to the resi-
dents of the Town in a manner approved by the Director of Community
Programs ( "Director ").
2. Provide no less than ten (10) hours per week of outreach
to the Town of Los Gatos, including but not limited to:
Los Gatos Neighborhood Center
Live Oak Nutrition Program
West Valley Assist
3. Provide quarterly reports to the Town, through the Director,
on service requests, resource identification, and resource gap in-
formation.
4. Establish, with the advice and consent of the Town, a
Los Gatos Advisory Committee, which will meet on a regular basis to
review service results, participate in identifying service gaps, and
work cooperatively with local government agencies and community
groups to develop, approve and coordinate services to meet human
needs in the Los Gatos area.
B. Compensation.
In exchange for the foregoing services, the Town shall pay
I &R a total of Four Thousand Dollars ($4,000.00) upon receipt of
invoice, on June 10, 1981.
C. General.
1. Representatives of the Town shall have the opportunity at
all reasonable times to inspect the books and records of I &R to
determine the level.of services being provided the Town hereunder.
2. The personnel of I &R shall be deemed to be employees of
I &R exclusively, and not employees of the Town for any purpose.
3. I &R shall provide proof to

1. This Agreement may be terminated by either party on thirty
(30) days notice, without cause. In the event of such termination,
I &R shall provide the Town with documentation of all services ren-
dered to the end of the contract, and the Town shall pay a pro-
portionate amount of the total compensation for said services with-
in thirty (30) days after the end of the contract.
IN WITNESS WHEREOF, the parties have hereunto set their hands
