AUTHORIZE THE TOWN MANAGER TO EXECUTE A FIRST
AMENDMENT TO THE AGREEMENT FOR SERVICES WITH SIEMENS
INDUSTRY, INC. TO EXTEND THE AGREEMENT FOR A PERIOD OF ONE
YEAR TO PROVIDE TRAFFIC SIGNAL AND STREET LIGHT
MAINTENANCE AND REPAIR SERVICES IN AN AMOUNT NOT TO
EXCEED $120,000.
RECOMMENDATION:
Authorize the Town Manager to execute a First Amendment to the Agreement for Services with
Siemens Industry, Inc. to extend the agreement for a period of one year to provide traffic signal
and street light maintenance and repair services in an amount not to exceed $120,000.
BACKGROUND:
The Town of Los Gatos has utilized contractual traffic and signal lighting maintenance services
for the past several years. Staff reviews such maintenance services annually to ensure that the
services provided are being performed satisfactorily, competitively priced, and continue to meet
Town's expectations and contract terms.
DISCUSSION:
On March 23, 2012, a Request for Proposals (RFP) was solicited for traffic signal and street light
maintenance and repair services and three (3) proposals were received. Siemens Industry, Inc.
(formerly Republic ITS, Inc.) was determined to be the lowest and most responsible contractor
for these services.
On June 18, 2012, the Town executed an Agreement for Services for traffic and signal lighting
maintenance services with Siemens Industry, Inc. This contract will expire on June 30, 2014,

DISCUSSION (cont'd):
The RFP solicited in 2012 allowed for an agreement for a two -year period, with up to three
additional one -year renewal periods, each commencing on July 1" and continuing until midnight
June 30`h' of each fiscal year, provided that the Town provides an annual written notice of intent
to extend the contract.
Siemens Industry, Inc. has forged a productive and cohesive working relationship with Town
staff and has agreed in written form to perform the same services, as outlined in their original
agreement for a period of one year.
Execution of this contract will be contingent upon the Town Council's approval of the proposed
FY 2014/15 Operating Budget. Funding for this contract is included in the proposed Parks and
Public Works Operating Budget.
CONCLUSION:
Staff is satisfied with the performance of Siemens Industry, Inc. and recommends that the Town
Council authorize the Town Manager to execute a First Amendment to the Agreement for
Services with Siemens Industry, Inc. to extend the agreement for a period of one year to provide
traffic signal and street light maintenance and repair services.
ENVIRONMENTAL ASSESSMENT:
This is a project as defined under CEQA but is Categorically Exempt (Section 15301c). A Notice
of Exemption will not be filed.
FISCAL IMPACT:
Funding for this contract is included in the proposed FY 2014/15 Parks and Public Works
Operating Budget. Execution of this contract will be contingent upon the Town Council's
approval of the proposed budget.
