RESOLUTION OF THE TOWN COUNCIL
OF THE TOWN OF LOS GATOS
AUTHORIZING THE TOWN MANAGER
TO EXECUTE AN AMENDMENT TO THE AGREEMENT WITH THE
WATRY DESIGN GROUP TO PROVIDE PROTECT 9925
DOWNTOWN PARKING STRUCTURE FEASIBILITY STUDY
FOR PARKING LOTS 2 AND 13
WHEREAS, on August 6, 1998, the Town entered into an agreement with the Watry
Design Group to provide a Downtown Parking Structure Feasibility Study for Parking Lots 2 and
13, and to determine the best site for future development.
WHEREAS, the Town desires to amend the agreement to expand the scope of service in
order to obtain plans showing elevations to potential structures.
NOW THEREFORE BE IT RESOLVED, by the Town Council of the Town of Los
Gatos, County of Santa Clara, State of California, that the Town of Los Gatos enter into an
amendment TO the agreement (Exhibit B) with the Watry Design Group to provide a Downtown
Parking Structure Feasibility Study for Parking Lots 2 and 13 to perform additional work related
to mass and scale, and that the Town Manager is authorized, and is hereby directed, to execute
said amendment attached as Exhibit A in the name and on behalf of the Town of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town Council of the
Town of Los Gatos, California, held on the 19th day of January, 1999 by the following vote:

AMENDMENT TO AGREEMENT
This AMENDMENT TO AGREEMENT is entered into this day of ,
199_, by and between the Town of Los Gatos, State of California, herein called "Town," and
the Watry Design Group, herein called "[Consultant /Contractor]."
RECITALS
A. Town and the Watry Design Group entered into an agreement to perform a Parking
Feasibility Study of Parking Lots 2 and 13 on August 6, 1998 ( "Agreement "), a copy of
which is attached hereto as (Attachment 1) and incorporated herein by reference.
B. At the Town Council meeting of January 4, 1999, the Council directed the consultant to
expand the Scope of Services (Attachment 2) provided in the original agreement.
AMENDMENT
1. Paragraph 1 of the Agreement is hereby amended to include the additional items found in
Attachment 3.
All other terms and conditions of the Agreement dated August 6, 1998 remain in full force
and effect.
2. Paragraph 2 - Time of Completion - shall be amended to deliver the "final report" to
staff on February 1, 1999, and make the final presentation to the Town Council on
February 16, 1999.
3. Paragraph 6 - Compensation of Services - Section (a) shall be increased from not to
exceed $41,300 to not to exceed $43,800.
IN WITNESS WHEREOF, the Town and the Watry Design Group have executed this
Agreement as of the date indicated on page one (1).
