RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF LOS GATOS AUTHORIZING THE
TOWN MANAGER TO AMEND THE PROFESSIONAL SERVICES AGREEMENT WITH
ANDERSON BRULE ARCHITECTS TO PROVIDE STRUCTURAL ENGINEERING
SERVICES AS PART OF THE CIVIC CENTER/LIBRARY MASTER PLAN PROJECT
WHEREAS the Town of Los Gatos .entered into an Agreement on April 15, 2002 with Anderson
Biule Architects to serve as consultants in the development of a Master Plan for the Los Gatos Civic Center
and Library.
WHEREAS the Town of Los Gatos desires to evaluate the condition and deficiencies of the existing
Civic Centerand Neighborhood Center. The structural evaluation will be the basis for the development of
conceptual cost estimates for the structural upgrades and the development in the master planning process
WHEREAS Anderson Brule Architects is qualified and willing to perform the desired work on the
terms and conditions set forth in the First Amendment to Agreement, .attached hereto as Exhibit A and
incorporated 'by this reference.
THEREFORE, BE IT RESOLVED, by the Town Council of the Town of Los Gatos, County of
Santa Clara, State of California ,that the First Amendment o Agreement with Anderson Brule Architects
amending the April 15, .2002 Agreement is hereby approved and that the Town Manager is authorized to
execute said Agreement.

This FIRST AMENDMENT TO AGREEMENT is entered into this day of
2003, by and between the Town of Los Gatos, State of California,
herein called "Town.," and Anderson Brule Architects, engaged in providing architectural and
engineering consulting services, herein called "Consultant."
RECITALS
A. Town and Consultant entered into an agreement forthe Strategic Master Plan forthe
Town of Los Gatos Civic Center and Library, identified as Agreement number 02:052,
on April 15, 2002 ("Agreement"), incorporated herein by reference.
B. Town desires to engage an architectural and engineering Consultant to evaluate the
condition and deficiencies of the existing Civic Center and Neighborhood Center. The
structural evaluation will be the basis for the development of conceptual cost
estimates for the structural upgrades and the development of alternatives in the
master planning process.
C. Consultant had previously :provided satisfactory services to the Town in the initial
:stages of the Library/Civic Center planning process and represents and affirms that
it is qualified and willing to perform the desired work pursuant to this Agreement.
AMENDMENT
1. Paragraph 1, Scope of Services, of the Agreement is herebyamended to provide that
Consultant shall perform those services outlined in the proposal dated 'february 21,
2003., a copy of which is attached hereto as Exhibit A and ..incorporated herein by
reference.
2. Paragraph 2, Time of Performance, of the Agreement is hereby amended to provide
that the project will be completed by April 11, 2003.
3. .Paragraph 6, Compensation, of the Agreement is hereby amended to .provide that full
compensation for Consultant completing all the work contemplated and embraced in
this Agreement fio the satisfaction of Town shall be THIRTY-FIVE THOUSAND
DOLLARS ($35,00.0.00).
2. .All other terms .and conditions of the Agreement dated April 15, 2002. remain in full
force and effect.
