FIRST AMENDMENT TO AGREEMENT FOR CONSULTANT SERVICES
This AMENDMENT TO AGREEMENT is dated for identification this 19 th day of June 201 8
and amends that certain A greement for Consultant Services dated October 27, 2017 , made by and
between the Town of Los G atos , ("Town,") and the SCHOOL BUS CONSULTANTS,
(“Consultant.”).
RECITALS
A. Town and Consultant entered into a n Agreement for Consultant Services on October 27,
2017 (“Agreement ”), a copy of which is attached hereto and incorporated by reference as
Exhibit A to this Amendment .
B. Town desires to amend the Agreement for Consultant Services to provide an additional
scope of services and compensation to provide professional services to prepare a business
plan for a school bus pilot program.
AMENDMENT
1. Scop e of Services (Section 2.1). Consultant shall provide additional services as described in
that certain proposal sent to the Town on May 29, 2018, which is hereby incorporated by
reference and attached as Exhibit B.
2. Compensation (Section 2.6). Compensati on for Consultant’s professional services for the
a dditional services shall not exceed $21,600 , inclusive of all costs, based on the Cost
Proposal in Exhibit B. Payment shall be based upon Town approval of each task.
Total amount of agreement not to exc eed $71,200.
3. All other terms and conditions of the Agreement remain in full force and effect.

Dear Ms. Smith:
TransPar Group, Inc. DBA School Bus Consultants (SBC) is pleased to submit this proposal to
advance the work being completed under our October 2 7 , 2017 contract related to the feasibility
of a local school bus service for the Town of Los Gatos (Town ). This proposal addresses the
ongoing needs of the Town regardi ng the potential second ph ase of its effort to establish school
bus service . Since this proposal has been requested by the Town prior to the completion of
work on the initial feasibility phase, some context for the presentation of this proposal is prudent.
Should the Town Council decide to proceed based upon the previous work jointly performed by
SBC and the Town, then this proposal will serve to continue the development of a local school
bus service for the Town by establishing the implementation action p lanning component for :
initially the pilot program , and subsequently the medium -to -long term track for evolving the
service beyond the pilot phase.
Our proposed scope of work contained herein seeks to address the planning needs associated
with how to establish a new school bus service . SBC and the Town found during the scope of its
previous engagement that it is feasible to establish a new school bus service that places a high
priority upon mitigating traffic congestion while simultaneously meeting the demand of a
sufficient ly amenable population. The only caveat with this finding is that the originally
anticipated funding sources for the potential service are less clear at this time . This is due to the
ambiguity associated with obtaining the previously anticipated level of public funds from
Measure B , since interpreted requirements for unrestricted public access to the service deviate
considerably from the traditional concept of dedicated school bus service. As such, obtaining
public funding via Measure B will likely prove difficult if not impossible if the service is in fact
implemented as a traditional yellow school bus service . There are two additional sources of
public funds available, however, and they are presently being investigated by the Town fo r both
feasibility and potential funding scope.
If the Town Council concurs that the school bus service is sufficiently feasible and possesses
the potential to be sufficiently funded via a mix of potential public and subscription -based private
sources , then there are still many crucial tasks to be completed within the next six or seven
months in order to plan for a successful pilot program . While the Town is positioning itself to
successfully execute many of those requisite tasks, both the Town and SBC a gree that the
effort would benefit both from SBC’s ongoing assistance and expertise within the industry .
Most immediately, the Town will need SBC’s help with executing upon an implementation action
plan including five collaborative tasks subsequently listed in order but with the understanding
that some tasks will be executed with varying levels of concurrence :

1. E valuate procurement options for the outsourced service delivery model: choose best;
2. Evaluate staffing needs in order to fulfill the necessar y functions to operate the service;
3. Solidify funding strategy for pilot service based upon estimates: prepare financial plan;
4. Develop an implementation action schedule to begin service in January of 2019;
5. Determine the medium -to -long term operating structu re over a five -year horizon.
Task 1: Evaluate Procurement Options and Execute upon the Best
This task has a three -fold purpose: first to jointly define the scope and specifications for the
proposed outsourced service , and t o prepare selection criteria for potential service providers.
Second , this task will encompass the collaborative evaluat ion of different procurement options
such as putting out a formal bid request via an RFP / RFB / ITB, piggy -backing upon a contract
with a provider presently serving another government or government -affiliated entity locally, or
more informally negotiating a contract with a provider able to provide the specified service.
Lastly, SBC will work with the Town to quickly but comprehensively develop the process specific
to this effort, draft documentation and execute the process .
A ll steps in this task will involve the review of peer agencies’ experience s , prepare d peer
comparison s , and the application of recommend ed best practice s . Once all steps within this task
have been completed, the Town will be poised to execute within the bounds of its policies and
procedures .

• SBC ’s recommendation for procurement based upon task discussions and
determinations arrived at with Town staff
• SBC’s recommendations for process, documentation and execution time frames
and outcomes associated with the chosen procurement process
• SBC’s recommendations for service specifications and vendor selection criteria
Task 2: Evaluate Staffing Needs and Options to Operate the Service
This task will serve to collaboratively e valuate staffing options for the various functions
necessary for operating the service, including but not limited to:
• Jointly d efining responsibilities within each functional area
• SBC r ecommend ing best practice s for functional distribution and management
• SBC providing options for functional models based up on industry and peer i experience s
• Jointly g ather ing available cost information from industry and peer i sources

Task 3: Solidify Funding Strategy and Develop F inancial P lan
This task will serve to collaboratively finalize the funding strategy for the pilot service as well as
to segue that funding strategy into a short -to -medium term financial plan that will support the
service over that horizon. Most of the work on this task will be performed by Town staff but SBC
will provide advisory guidance to ensure that all applicable costs are considered and within the
proper ranges, as well as how budgets and expenditures should be approached and tracked
within the student transportati on industry.

• Solidified Funding Strategy
• Draft Financial Plan
• First Year Draft Budget
• Template for Expenditure Tracking
Task 4: Develop Implementation Schedule to B egin S ervice
During this task, SBC will assist the town with developing a feasible and successful
implementation schedule from mid -to -late June 2018 through January 2019 . This process will
begin with working backward from the anticipated start date for th e service; include coordination
with key schools’ schedules; incorporate both known and anticipated time frames associated
with executi ng upon the m ore immediate aspects of Tasks 1 through 3 , and; serve as the basis
for aligning the work that must be compl eted in Task 5 .
S BC ’s effort on this task will be concentrated at the beginning and end of the task, focusing on
setting up th e Town for success by collaboratively planning and advising from the outset and
then again r eview ing and comment ing on the draft schedule prepared by staff, including
highlight ing critical path items and inform ing Town staff of any potential schedule delay s.

Task 5 : Establish a Medium -to -L ong T erm O perating S tructure
This task will use the outputs from previous tasks and serve to create and establish a medium -
to -long t erm operating structure over a five -year horizon. T he work on this task will be
performed collaboratively and with a mindset of flexibility to allow for lessons to be learned and
applied over the next one to three years. Considerations will include industry be st practices
contrasted with Town needs and wants regarding the service. Additionally, the structure will be
considered tentative based upon experiences and outcomes over the short -to -medium term of
service under the proposed structure.

Figure 1 below illustrates SBC’s estimated levels of effort over the course of the proposed
engagement.

For the aforementioned 16 0 hours of consulting over a n estimated 60 -day period , SBC
proposes a firm fixed cost to the Town of $21,60 0 . Two invoices will be generated by SBC
during the project: the initial invoice will be issued o n or about 30 days into the project for
$10,800 and anothe r post -deliverables invoice will be issued at the conclusion of project work
for the remaining $10,800 .
While general projections are made herein for hours by task , and also while the total estimated
hours are firm, SBC is agree able to adjusting hours by task based upon the emerging needs of
the Town and the Town’s desire to contribute more or less Town -staff work hours to individual
tasks during the project .
SBC proposes a project start date of on or about June 2 0 , 2018, with a n anticipated project end
date on or about A ugust 4 , 2018. Additionally, the proposed pricing includes the provision for up
to two (2) onsite visits by SBC staff during the engagement , as determined by Town staff and as
coordinated with SBC staff.

AGREEMENT FOR CONSULTANT SERVICES
THIS AGREEMENT is made and entered into on October 27,2017 by and between TOWN OF
LOS GATOS, a California municipal corporation, ("Town") and SCHOOL BUS
CONSULTANTS, ("Consultant"), whose address is 18 SW 3'd Street, Suite 200, Lee's Summit,
MO 64063. This Agreement is made with reference to the following facts.
I. RECITALS
l.l The Town desire to engage Consultant to provide professional services to conduct a
feasibility study for school bus services.
1.2 The Consultant represents and affirms that it is willing to perform the desired work pursuant
to this Agreement.
1.3 Consultant warrants it possesses the distinct professional skills, qualifications, experience,
and resources necessary to timely perform the services described in this Agreement.
Consultant acknowledges Town has relied upon these warranties to retain Consultant.
II. AGREEMENTS
2.1 Scope of Services. Consultant shall provide services as described in that certain proposal
sent to the Town on October 18, 2017, which is hereby incorporated by reference and
attached as Exhibit A.
Term and Time of Performance. This contract will remain in effect from October 30,2017
to June 30,2019.
Compliance with Laws. The Consultant shall comply with all applicable laws, codes,
ordinances, and regulations of goveming federal, state and local laws. Consultant
represents and warrants to Town that it has all licenses, permits, qualifications and
approvals of whatsoever nature which are legally required for Consultant to practice its
profession. Consultant shall maintain a Town of Los Gatos business license pursuant to
Chapter 14 of the Code of the Town of Los Gatos.
2.4 Sole Responsibility. Consultant shall be responsible for employing or engaging all persons
necessary to perform the services under this Agreement.
Information/Report Handline. All documents furnished to Consultant by the Town and all
reports and supportive data prepared by the Consultant under this Agreement are the
Town's property and shall be delivered to the Town upon the completion of Consultant's
services or at the Town's written request. All reports, information, data, and exhibits
prepared or assembled by Consultant in connection with the performance of its services
pursuant to this Agreement are confidential until released by the Town to the public, and the
Consultant shall not make any of these documents or information available to any

individual or orgarization not employed by the Consultant or the Town without the written
consent of the Town before such release. The Town acknowledges that the reports to be
prepared by the Consultant pursuant to this Agreement are for the purpose of evaluating a
defined project, and Town's use of the information contained in the reports prepared by the
Consultant in connection with other projects shall be solely at Town's risk, unless
Consultant expressly consents to such use in writing. Town further agrees that it will not
appropriate any methodology or technique of Consultant which is and has been confirmed
in writing by Consultant to be a trade secret of Consultant.
Compensation. Compensation for Consultant's professional services shall not exceed
$491600, inclusive of all costs, based on the Cost Proposal in Exhibit A. Payment shall be
based upon Town approval ofeach task.
Billins. Billing shall be monthly by invoice within thirty (30) days of the rendering of the
service and shall be accompanied by a detailed explanation of the work performed by whom
at what rate and on what date. Also, plans, specifications, documents or other pertinent
materials shall be submitted for Town review, even if only in partial or draft form.
Payment shall be net thirty (30) days. All invoices and statements to the Town shall be
addressed as follows:

Availability of Records. Consultant shall maintain the records supporting this billing for
not less than three years following completion of the work under this Agreement.
Consultant shall make these records available to authorized personnel of the Town at the
Consultant's offices during business hours upon written request of the Town.
Assignability and Subcontractine. The services to be performed under this Agreement are
unique and personal to the Consultant. No portion of these services shall be assigned or
subcontracted without the written consent of the Town.

2.10 Independent Contractor. It is understood that the Consultant, in the performance of the
work and services agreed to be performed, shall act as and be an independent contractor and
not an agent or employee of the Town. As an independent contractor he/she shall not obtain
any rights to retirement benefits or other benefits which accrue to Town employee(s). With
prior written consent, the Consultant may perform some obligations under this Agreement
by subcontracting, but may not delegate ultimate responsibility for performance or assign or
transfer interests under this Agreement. Consultant agrees to testify in any litigation brought
regarding the subject of the work to be performed under this Agreement. Consultant shall
be compensated for its costs and expenses in preparing for, traveling to, and testifying in
such matters at its then current hourly rates of compensation, unless such litigation is

brought by Consultant or is based on allegations of Consultant's negligent performance or
wrongdoing.
2.11 Conflict of Interest. Consultant understands that its professional responsibilities are solely
to the Town. The Consultant has and shall not obtain any holding or interest within the
Town of Los Gatos. Consultant has no business holdings or agreements with any individual
member of the Staff or management of the Town or its representatives nor shall it enter into
any such holdings or agreements. In addition, Consultant warrants that it does not presently
and shall not acquire any direct or indirect interest adverse to those of the Town in the
subject of this Agreement, and it shall immediately disassociate itself from such an interest,
should it discover it has done so and shall, at the Town's sole discretion, divest itself of such
interest. Consultant shall not knowingly and shall take reasonable steps to ensure that it
does not employ a person having such an interest in this performance of this Agreement. If
after employment of a person, Consultant discovers it has employed a person with a direct
or indirect interest that would conflict with its performance of this Agreement, Consultant
shall promptly notify Town of this employment relationship, and shall, at the Town's sole
discretion, sever any such employment relationship.
2.12 Equal Employment Opportunity. Consultant warrants that it is an equal opportunity
employer and shall comply with applicable regulations governing equal employment
opportunity. Neither Consultant nor its subcontractors do and neither shall discriminate
against persons employed or seeking employment with them on the basis of age, sex, color,
race, marital status, sexual orientation, ancestry, physical or mental disability, national
origin, religion, or medical condition, unless based upon a bona fide occupational
qualification pursuant to the California Fair Employment & Housing Act.
III. INSURANCE AND INDEMNIFICATION
3.1 Minimum Scope of Insurance:
Consultant agrees to have and maintain, for the duration of the contract,
General Liability insurance policies insuring him/her and his/her firm to an
amount not less than: one million dollars ($1,000,000) combined single limit
per occurrence for bodily injury, personal injury and property damage.
Consultant agrees to have and maintain for the duration of the contract, an
Automobile Liability insurance policy ensuring him/her and his/her staff to
an amount not less than one million dollars ($1,000,000) combined single
limit per accident for bodily injury and property damage.
111.Consultant shall provide to the Town all certificates of insurance, with
original endorsements effecting coverage. Consultant agrees that all
certificates and endorsements are to be received and approved by the Town
before work commences.

iv. Consultant agrees to have and maintain, for the duration of the contract,
professional liability insurance in amounts not less than $1,000,000 which is
sufficient to insure Consultant for professional errors or omissions in the
performance of the particular scope of work under this agreement.
General Liability:
l.The Town, its officers, officials, employees and volunteers are to be covered
as insured as respects: liability arising out of activities performed by or on
behalf of the Consultant; products and completed operations of Consultant,
premises owned or used by the Consultant. This requirement does not apply
to the professional liability insurance required for professional errors and
omissions.
ii.The Consultant's insurance coverage shall be primary insurance as respects
the Town, its officers, officials, employees and volunteers. Any insurance or
self-insurances maintained by the Town, its officers, officials, employees or
volunteers shall be excess of the Consultant's insurance and shall not
contribute with it.
Any failure to comply with reporting provisions of the policies shall not
affect coverage provided to the Town, its officers, officials, employees or
volunteers.
The Consultant's insurance shall apply separately to each insured against
whom a claim is made or suit is brought, except with respect to the limits of
the insurer's liability.
3.2 All Coveraees. Each insurance policy required in this item shall be endorsed to state that
coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits except
after thirty (30) days' prior written notice by certified mail, return receipt requested, has
been given to the Town. Current certification of such insurance shall be kept on file at all
times during the term of this agreement with the Town Clerk.
J.J Workers' Compensation. In addition to these policies, Consultant shall have and maintain
Workers' Compensation insurance as required by California law and shall provide evidence
of such policy to the Town before beginning services under this Agreement. Further,
Consultant shall ensure that all subcontractors employed by Consultant provide the required
Workers' Compensation insurance for their respective employees.
3.4 Indemnification. The Consultant shall save, keep, hold harmless and indemnifu and defend
the Town its officers, agent, employees and volunteers from all damages, liabilities,
penalties, costs, or expenses in law or equity that may at any time arise or be set up because
of damages to property or personal injury received by reason of, or in the course of
performing work which may be occasioned by a willful or negligent act or omissions of the
Consultant, or any of the Consultant's officers, employees, or agents or any subconsultant.

IV. GENERAL TERMS
Waiver. No failure on the part of either party to exercise any right or remedy hereunder
shall operate as a waiver of any other right or remedy that party may have hereunder, nor
does waiver of a breach or default under this Agreement constitute a continuing waiver of a
subsequent breach of the same or any other provision of this Agreement.
Governins Law. This Agreement, regardless of where executed, shall be governed by and
construed to the laws of the State of California. Venue for any action regarding this
Agreement shall be in the Superior Court of the County of Santa Clara.
Termination of Agreement. The Town and the Consultant shall have the right to terminate
this agreement with or without cause by giving not less than fifteen days (15) written notice
of termination. In the event of termination, the Consultant shall deliver to the Town all
plans, files, documents, reports, performed to date by the Consultant. In the event of such
termination, Town shall pay Consultant an amount that bears the same ratio to the
maximum contract price as the work delivered to the Town bears to completed services
contemplated under this Agreement, unless such termination is made for cause, in which
event, compensation, if any, shall be adjusted in light of the particular facts and
circumstances involved in such termination.
Amendment. No modification, waiver, mutual termination, or amendment of this
Agreement is effective unless made in writing and signed by the Town and the Consultant.
Disputes. In any dispute over any aspect of this Agreement, the prevailing party shall be
entitled to reasonable attorney's fees, including costs of appeal.
Notices. Any notice required to be given shall be deemed to be duly and properly given if
mailed postage prepaid, and addressed to:

or personally delivered to Consultant to such address or such other address as
Consultant designates in writing to Town.
4.7 Order of Precedence. In the event of any conflict, contradiction, or ambiguity between the
terms and conditions of this Agreement in respect of the Products or Services and any
attachments to this Agreement, then the terms and conditions of this Agreement shall
prevail over attachments or other writings.
4.8 Entire Aqreement. This Agreement, including all Exhibits, constitutes the complete and
exclusive statement of the Agreement between the Town and Consultant. No terms,

Dear [Ms. Smith
School Bus Consultants, LLC (SBC) is pleased to resubmit this proposal to provide a Feasibility
Study for a School Traffic Congestion Relief Program. SBC provides school transportation
advisory services. This is our sole focus and our only business. As you review this proposal you
will find that SBC has an extensive record of successfully completing many projects, and that
we are uniquely well qualified to perform this work. ln particular, SBC provides:
. Highly relevant qualifications and experience - SBC and its predecessor company
Management Partnership Services, lnc. (MPS) have conducted over 400 consulting
projects of various sizes and types for nearly 300 clients in 41 states and 4 Canadian
provinces. SBC has worked with school transportation programs of all sizes ranging in
size from as few as 5 to over 1,300 buses. Of particular note, as MPS we participated in
the feasibility study, design, and implementation of the TRAFFIX school bus program in
the San Ramon Valley. This was conducted under the auspices of the Town of Danville
beginning in 2006, and concluding with the start of service in July, 2009. More recently,
SBC was reengaged by the program in 2017 to assist with their first contract re-
solicitation process, which is currently ongoing.
. Exactly the skills required - SBC employs student transportation professionals, GIS
technical experts, highly qualified management analysts, and consultants/ facilitators
who collectively possess the precise mix of skills in transportation operations, education
administration, quantitative analysis, program design, and change management required
by the Town of Los Gatos for a successful feasibility study.
o I focus on resu/fs - Every project we undertake begins with a fundamental
understanding of the need to produce tangible results for our clients. SBC prides itself on

School Bus Consultants (SBC), a proud partner with the TransPar Group of Companies,
represents the advisory services arm of this group and is dedicated to providing highly
customized and targeted management services focused
on all aspects of pupil transportation. This is our sole
focus and our only business. ln this role, and over a 20-
year history, part of which was as our predecessor
organization Management Partnership Services, lnc. we
have performed more than 400 consulting projects of
various sizes and types for more than 300 school
district and municipal clients in 41 states and 4
Canadian provinces. Our clients have included rural,
suburban, and urban government entities with both contracted and client-owned school
transportation systems. We have also worked with state pupil transportation agencies, regional
cooperative transportation organizations, private investment firms, private sector transportation
providers, and student transportation professional associations.
A total of nine fulltime staff consultants are employed directly by SBC and bring more than 100
combined years in student transportation operations, system design and assessment,
facilitation, change management, and technology applications to their work. This broad-base of
experience and qualifications provides us with a unique perspective on the needs and
requirements of transportation providers. Much of this experience has been focused on
conceptualizing, designing, and implementing new transportation programs as well as
reengineering of existing programs to meet new service requirements and changing operational
circumstances. This coupling of practical industry-specific knowledge with unmatched advisory
and change management skills is what makes SBC the go-to consultant for all things school
transportation.
SBC staff has also committed itself to sharing our lessons learned with the student
transportation community. To that end we published, in conjunction with PaperClip
Communications, a guide for transportation departments in their efforts to reduce transportation
costs. Driving Down Costs: Essential Tools for Analyzing, Measuring and lmplementing Cost-
Effective School Bus Services is a collection of nearly 40 articles written by SBC staff that focus
on practical ways for transportation departments to evaluate their operations and identify
opportunities to improve efficiency and effectiveness.
ln addition to our project and outreach work, SBC also provides ongoing professional
development to the student transportation community. We regularly conduct educational
seminars and author articles for a number of the industry's professional organizations and
journals. SBC staff have published articles in numerous professional journals, including School
Transportation Director, Transporting Students with Disabilities and Special Needs, School
Business Affairs, American School & University, School Transportation News, APWA Reporter,
and Public fttlanagement.

We are also members of a number of professional school business and student transportation
associations, including the National Association for Pupil Transportation (NAPT), lnternational
Association of School Business Officials (ASBO), National School Transportation Association
(NSTA), as well as numerous other state affiliates of these organizations. We are also
associated with fleet organizations such as the American Public Works Association (APWA) and
National Association of Fleet Administrators (NAFA).
Qualifications Specific to this Project
While SBC staff has significant experience, expertise, and qualifications related to the school
transportation industry generally, SBC also brings a host of specific skills and experience that
are directly related to the requirements of this project. The introductory section of the RFP
establishes the following "highly desirable qualifications" for which SBC provides directly
relevant skills and experience:
o "Facilitation with a diverse and engaging community with many needs" - SBC has
worked in 41 states. This work has spanned small rural operations plus the largest and
most complex school transportation organizations in the country, such as in New York
City. The communities in which these organizations operate have been highly diverse
and demanding, but perhaps the most relevant examples that can provide a sense of
SBC's capabilities in this area come from a similar project conducted years ago, and a
very recent one, both of which required these exact quoted skills:
- Town of Danville, California (2006-2009): Here, as indicated in our references as
well, then MPS, lnc. worked closely with Danville and other stakeholders in
assessing the feasibility, designing, and then implementing what is now the
TRAFFIX school bus program in the San Ramon Valley.
- Greenwich Public Schools, Connecticut (2016-2017): Over the past 1B months,
SBC staff have been responsible for assessing the feasibility and then
implementing later school start times in this highly demanding community. The
work included large amounts of outreach to, and facilitation with, all stakeholders,
and ending with a highly successful implementation in the school year just
begun.
. "Ability to collect and analyze data, solicit input, and support decision-making" - This
describes the very essence of the analytical backbone behind each and every one of
SBC's engagements. Perhaps of most relevance is a recently completed project for the
Lamorinda School Bus Program where a comprehensive G|S-based survey and
mapping of school bus stop safety was rigorously conducted and documented. While
this resulted in the need to recommend service reductions, and this was poorly received
by the community, the analysis and related data supported the conclusions and points to
SBC's commitment to always do what is demonstrably correct based on analysis, not
what is necessarily expected or desired.
. "Sound understanding and experience in specialized transit service for schools" - ln
addition to our work with directly comparable programs in TRAFFIX and Lamorinda,
SBC has conducted numerous similar studies. There simply is no equal to our
combination of practical experience conducting complex, difficult, nuanced school
transportation studies such as this.

"Understanding of school-related travel patterns and congestion issues or similar Traffic
Demand Management programs" Our mission at SBC is helping our client
organizations provide safe and timely access to school. While the nature of what we do
is heavily transportation and school bus focused, our work is always performed in the
context of the core educational mission supported by transportation. As such, we have
worked with, written about, and adyocated for, alternative means of providing access to
school in the context of traffic relief (TRAFFIX, Safe Routes to School), Safety
(Lamorinda), efficient circulation of traffic in and around school sites and many other
related subject areas. ln this context, we have often worked with dedicated traffic
engineering firms, but find that the necessary data will be already present in this project
and have not proposed including this level of outside expertise in our project team.
SBC also believes that the integration of new technologies represents the future of the industry.
Therefore, SBC has spent the past several years investing in GIS expertise and software
platforms for applying this technology in our services. As such, we have assigned appropriately
expert staff, and will be using the ESRI ArcGlS software platform extensively in the task plan as
outline further below.

Patrick D. Kneib
Patrick has been working for SBC since 2013, and is currently the SBC West Region Manager,
based in Phoenix, Arizona. Before joining SBC, Patrick was the Director of Transportation for
the Kansas City Public Schools in Missouri. During his tenure at the KCPS, Patrick completed
the adaptation of the district's transportation system during its "Right-Sizing Plan" that closed
nearly half of its schools. He also facilitated the transition of oversight for the district's crossing
guards from the Security Department to the Transportation Department, broadened the district's
Safe Routes to School Program, created a lvledicaid Reimbursement Program for transportation
services and oversaw the district-initiated transition from two school bus vendors to a single
school bus vendor.
Patrick holds a Master of Business administration degree, and has been a pivotal contributor to
many SBC projects over the past several years.
Giovanni R. Cosentino
Giovanni has been a Project Analyst and Project Manager with SBC for the past 1B months.
During this time, he has assisted K-12 school districts and programs across the United States
with bell time analyses, routing analyses, operations review, outsourcing assessment, and RFP
development. Most recently, Gio was the Project Manager for our work with the TRAFFIX
program in the San Ramon Valley. Additionally, he has applied his knowledge of GIS and
geographic principles to conduct analysis and examine spatial relationships to solve problems
and develop routing solutions. Prior to joining SBC, Gio was a GIS Specialist for Atlanta
Beltline lnc. in Atlanta, Georgia, and currently is based in SBC's East Coast office in
Charleston, SC.

TRAFFIX The Measure J Traffic Congestion Relief Agency, Danville,
California
Previously mentioned was our predecessor organization's involvement in the development of
this program. ln 2016, SBC was engaged to develop a comprehensive RFP for resoliciting the
service at the conclusion of the current eight-year contract. The client is currently entering their
last year of their contract and believed a new contract was necessary. The goal of the RFP is to
help give options to TRAFFIX in the event that the next provider provides poor performance.
Part of this is an extension to the current agreement with SBC whereby SBC will assist with
evaluating alternative methods of service delivery.
Our assigned Lead Analyst, Giovanni Cosentino, is the Project Manager for this ongoing work

SBC is presently in a follow-up engagement with the Atlantic Public Schools, following a route
review performed in the summer of 2016. The client engaged SBC due to a desire to better
understand the routes, bell times, and operational performance. Long plagued by staff
shortages, ineffective resource management, and expanding district-wide programming, the
transportation department was in a state of change. The results were comprehensive in
evaluating the various aspects driving a less than desired performance seen throughout the
APS operation, and recommendations surrounded these findings. Many recommendations
surrounded routing process, and belltime policy. The follow-up work that SBC is presently
involved with surrounds assistance with implementation of our recommendations.

Bakersfield City School District, California
The client engaged SBC due to a desire to know the resulting effects of compressing the
district's bell schedule to provide for more professional development (PD) time. The client
required help to illustrate challenges associated with the district's desire to address teacher PD
time needs by starting and ending all schools within 30 minutes of each other. The educational
side of the district did not fully understand or appreciate the resource impacts of compressing
the district's bell times or even converting from a multitiered system to a single tiered system.
SBC was successfully able to impress upon the Administration the transportation costs of
making the desired changes for educational and professional development purposes. A
comprehensive report detailing the process and rational of the results was provided.
Our assigned Project Manager, Patrick Kneib, and our assigned Lead Analyst, Giovanni
Cosentino, were also the Project Manager and Project Analyst for this work.

Work Plan
Our Understanding of the Situation
The Town of Los Gatos and the school community are exploring a new transit service
customized to meet the needs of students traveling to and from schools. The desire for a school
bus service is the outcome of extensive community engagement and work conducted over a
number of years. The Feasibility Study described as the Scope of Work for this project is Phase
1 in implementing a transit service around schools. The stated objective is to provide for the
safe transportation of children in the town of Los Gatos, in a manner that will reduce school-
related congestion and improve overall safety.
The objective for this Phase 1 Feasibility Study is to determine the feasibility of starting and
operating transit service to schools with the primary purpose of congestion relief. Specifically,
the study should quantify the demand for school busing service, the cost of providing service,
and recommend funding strategies for implementation. Depending on the recommendations
from the Feasibility Study, community input and Council direction, it is anticipated that the next
steps (Phase 2) will be completing a business plan, funding strategies, and an implementation
plan.
The above series of statements are extracted from the RFP, and summarize well the intent of
the project under consideration. SBC further understands that the funding for this first phase of
work is being provided by the Town, but that a funding request through Measure B for this
phase and future phases of work are a top priority. SBC understands the importance placed on
a successful outcome for this project, and has defined an approach and task plan designed to
provide for a high level of confidence in the overall results.
Approach
The Town's document "Los Gatos lvleasure B Project Prioritization" defines the need for a study
that will test the feasibility of a school bus model similar to that implemented in Danville. As
noted in the qualifications and experience section of this proposal, SBC was the consultant that
worked directly with Danville on the creation of the program now known as TRAFFIX, and that
we are currently engaged with TRAFFIX on further refinements to the program. Our proposed
approach here will be similar in that it represents the first stage in a design-build process,
recognizes the absolutely critical nature of achieving consensus through stakeholder
involvement and engagement, and is targeted at developing results that will be readily
leveraged and used as a jumping off point for the subsequent phases of work, whether or not
SBC is engaged to assist further. ln this last sense, the task plan described below is designed to
be a stand-alone, comprehensive piece of work that will further the objectives of the Town and
the stakeholders in this process. Our objective is to add value and leave the development of this
program one step closer to fruition.

Task Plan
Task 1 - Assess lnterest & Demand
This first task is the most critical element of work as it will establish the baseline from which the
success of the entire endeavor will be measured. Engaging the varied stakeholders in the
process in such a way that trust is engendered, actionable information is collected, and plans
are accurately communicated will require a thoughtful and comprehensive approach. SBC will
begin by conducting a series of project startup meetings during which readily available data is
collected, the history of the work completed to date is discussed and understood, the culture
and needs of the community are explored, and an outreach plan is developed. The entire SBC
project team will attend these meetings. lt will be important for the key members of the Town's
project staff to be present as well.
The following general approach to conducting stakeholder outreach will be discussed, refined,
and finalized during these meetings:
1. An initial "early outreach" phase will be conducted with leaders of key stakeholder
groups as identified during the project startup meetings. This outreach will be conducted
primarily during in-person interviews, but other forms of contact such as surveys may be
included depending on circumstance. We will also include an initial "heads-up"
messaging campaign to be conducted via email, social media, or such other
mechanisms as may be determined appropriate. The purpose of this campaign will be to
help bring the entire community up to a level of awareness that the work has begun, and
that further outreach is to be expected.
2. Based on feedback received during this first effort, SBC will (in partnership with the
Town's project team) develop and execute a second phase of outreach which will be
both more targeted and more comprehensive. The timing and content for this phase of
outreach cannot be fully projected until the SBC team has been engaged and the first
phase completed, but we expect it to consist of a number of mechanisms such as in-
person meetings, information sessions, and online surveys. The purpose is to engage
the community generally, plus parents and students specifically, for the purpose of
gauging interest in, and concerns with, the development of a school bus service. All
potential factors, issues, and concerns will be addressed through this outreach, to
include but not be limited to pricing sensitivity, commuting decisions, family and sibling
care, after school activities, safety considerations and many others.
A parallel analytical effort will be conducted while the outreach phases proceed. SBC staff will
collect any and all available data that will support a quantitative and qualitative assessment of
the concentration of likely demand for a school bus service. We understand from the RFP
document that data available includes student addresses, school enrollments, existing traffic
counts, existing travel modes, bell times, and qualitative and quantitative safety information.
During the project startup meetings SBC will also explore any others sources of data and
information that may be useful in the analysis.

Several methods of analysis will be utilized, and
will leverage SBC's past experience with similar
efforts. The primary analysis will be geo-spatial,
relying on GIS technology and analytical skills
inherent in SBC's service offering to visualize
and othenruise analyze the potential demand
for, and construct of, a school bus service. This
analysis will be supported by other data and
information, both quantitative and qualitative, to
create an initial assessment of likely demand
patterns complete with a map that overlays the concentration of demand along with congested
intersections.
The analysis and the results of the outreach will be combined in a technical memorandum which
will be circulated to the Town's project team and other stakeholders as identified by the Town.
The purpose of this memorandum will be twofold. First, it will form a stand-alone deliverable for
this first task in the work plan. As such it will be the primary mechanism enabling Town staff to
develop the initial service plan as called for in Task 2. Second, it will form a core input, together
with the deliverables for Tasks 2 & 3, to the overall project report to be developed and provided
as the capstone deliverable in Task 4.

Task 2 - Develop Preliminary Service Plans
SBC will assume a primarily supportive role in this interim task. As called for in the RFP, Town
staff will utilize the results of Task 1 to design a preliminary service plan but work on this task
can begin prior to the receipt of Task 1's deliverables. This plan will consist of:
o Preliminary bus routes and schedules;
r Preliminary bus stops / pick-up and drop-off locations;
o Estimates of bus types, costs, and driver needs; and
o Estimates of service hours and costs.
SBC will work closely with staff to provide the benefit of our experience and expertise. We will
review the plan as it is being developed and after it is fully drafted, providing our unbiased and
honest appraisal of its viability, appropriateness, and accuracy.
Once the preliminary plan has been finalized, the SBC team will utilize the results and all
available information on traffic patterns at congested streets and intersections to conduct a
separate and independent assessment of the likely impact of the plan on reducing automobile
trips. SBC will construct the analysis in such a way that assumptions can be easily altered, and
sensitivity testing conducted. The goal will be to provide the ability for stakeholders to evaluate

"what-if' scenarios in order to better enable a comparison of the costs and benefits of the
preliminary service plans, to assist in identifying a set of candidate bus routes, and in the final
refinements and outreach to be conducted in the next task.
The SBC team will utilize the results of the analysis and any sensitivity testing, together with the
preliminary service plan, to assist staff and selected community stakeholders in identifying a
group of candidate bus routes to be presented and refined in the next task. These routes will be
combined with GIS-based maps containing overlays based on SBC's initial demand analysis
and prepared for presentation. The analysis and the candidate route maps will be documented
in a technical memorandum similar in structure and purpose to that provided as a stand-alone
deliverable in Task 1.

Task 3 - Quantify Demand & Refine Service Plan
SBC will return to a more activist role in the evaluation and refinement of the preliminary service
plan, and its evaluation by the community. To begin, SBC will work with staff to evaluate, refine,
and document a service plan that includes several of the best performing routes from a traffic
congestion relief perspective. The revised plan will include detailed route information, pick-up
and drop-off times, and expected service pricing ranges. These will be presented for feedback
via a formal survey mechanism targeted at school age parents and potential users of the
system. Based on feedback received, SBC will prepare a ridership projection and provide this to
staff as the third and final interim project deliverable.
Town staff, with advice and input from SBC, will then produce its estimates of preliminary
program costs. As part of this process, SBC will evaluate and make any recommendations
concerning the potential for school bell time adjustments that may have a positive impact on
operating efficiency. The results thus produced will serve as the final input to the creation of the
final project deliverables in Task 4.

of starting and operating a school bus transit service to schools and will develop

presented to the Town, with an audience of its choosing, in a working session format first. The
purpose of this presentation will be to discuss and debate the overall results and conclusions

such that a consensus can be reached, and all options, constraints, findings, and
recommendations are fully understood before anything is committed to writing in a final project
report.
The results will be adjusted accordingly, and will be documented in the final report. The report
will thoroughly cover the methodologies followed and assumptions made in reaching the final
conclusions regarding feasibility, and will include as its capstone an assessment of the impact a
school bus program might have on travel patterns and congestion in the targeted areas.
