A RESOLUTION APPROVING TOWN MANAGER
EMPLOYMENT AGREEMENT BETWEEN TOWN OF
LOS GATOS AND DAVID R. MORA.
BE IT RESOLVED, and it is hereby resolved by the Town Council of
the Town of Los Gatos, County of Santa Clara, State of California, that
the Town of Los Gatos enter into that Town Manager Employment Agreement
with DAVID R. MORA, a copy of which is attached hereto; and
BE IT FURTHER RESOLVED that the Mayor is authorized and is hereby
directed to execute said contract in the name and in behalf of the Town
of Los Gatos.
PASSED AND ADOPTED at a regular meeting of the Town
Council of the Town of Los Gatos, California, held on the 6th
day of January i, 1981, by the following vote:

HIS AGREEMENT is entered into this _ytv day of January
19Q by and between the TOWN OF LOS GATOS, as municipal corporation ("Town")
and DAVID R. MORE ("ones").

1. In consideration of the foregoing recitals, and of their respective

The Town Council of Town hereby appoints More as Town Manager of Town as
of january 1, 1987, and Mora accepts said appointment, subject to the provisions

The term of. this Agreement shall extend indefinitely until t?rrkar, as,
hereinafter provided,
in exchange for faithful performance of his duties as Town
shall receive the following compensation.
Ve starting base salary shall be 546,000, Town shall review said
salary annually at the time of adoption of the budget.

starting at the time of adontion of the second annual budget after
execution of this Aoreement, Town shall pay Mora, in addition to whatever

Management Association (ICKA) for Mora to particioate in its Retirement
Program, provided that the Town shall not incur any financial liability in
connection with said program,

League of California Cities and other similar groups, as well as local civil

provided that said expenses shall be limited to a maximum of

period of up to 30 additional days after «anuary T 1981, until
the family is able to move into a hams in Los Gatos
c. All relocation expenses, including travel, transportation, and
packing of personal property of Mora and family from Santa
Barbara to Los Gatos.
d. Town shall reimburse Mora for expenses related to purchase
of Interim medical insurance coverag for bra and family
until such time as Mora will be eligible for Town .medical
insurance coverage

Any benefits not specifically mentioned in this Agreement shall be
provided in accordance with standards applicable to all Town employees.
D. Termination
r Method
This agreement may be terminated in the following manner;
a. By Mora giving Town 90 =lots' notice.
W By the Town removing Mora from office as provided In
Section u18 of the Town Code,
cw At any time by any other thod'a red upon in writing,

in event of termination pursuant to paragraph VIM), Mora shall
be entitled to severance pay In an amount equal to his then base salary for
a period of 90 days, p1US Compensation for accrued vacation up to 320 hours
(40 days). but shall not be entitled to compe nsation for unused medical
benefits or any other severance benefits not expressly nt oned herein,

E. General Provisions
1. Amend-me
The Town Council may from time to time amenj this Agreepent or fix
othar terms and cunditions of fl'ora's employment, either by written addendum,
attacked hereto or of resolution, provided that any such amendments shall not
be 10consistant tits the provisions of this Agreement. the Town Code. or any
othea Ws,
ip i General Rules
As to any matter not expressly covered In this Agreement, Mora shall
be subJeCt to the same rules and policies as any other employee of the Town.
1, f0enration
The text hereof shall constitute the entire agreement between the
Parties, except for amendments as provided abovex
4.1.—I-Succ-essors
This Agreement shall be binding upon and inure to the benefit of the
heirs and executors of Mora,

Notices under this Agreement shall be given by first class mail
